Important Notice: This section constitutes the definitive understanding between That Is A Q ("Company") and the client ("Client") regarding all matters addressed in this Agreement. Please read carefully.
17. Entire Agreement
This Agreement, together with all Schedules, Exhibits, Statements of Work ("SOWs"), Privacy Policies, and any other documents expressly incorporated by reference herein, constitutes the entire and exclusive agreement between That Is A Q and the Client concerning the subject matter hereof. It supersedes all prior or contemporaneous understandings, agreements, representations, warranties, commitments, or offers, whether oral or written, relating to such subject matter.
Notwithstanding any obligations of confidentiality that may exist between the parties, no party shall be bound by any condition, term, or provision not contained in or referred to in this Agreement. Any modifications, amendments, or supplements to this Agreement shall only be valid and enforceable if made in writing and signed by duly authorized representatives of both That Is A Q and the Client.
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of the right to subsequently enforce that provision or any other provision of this Agreement. Any waiver must be expressly made in writing and signed by the waiving party.
17.1 No Third-Party Beneficiaries
This Agreement is intended solely for the benefit of the parties hereto and their respective permitted successors and assigns. It does not create any rights or benefits, legal or equitable, for any third party, and no third party shall have any standing to enforce any provision hereof.
17.2 Counterparts & Electronic Signatures
This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission (including .pdf or digital signature platforms) shall be treated as valid and sufficient as delivery of a manually executed counterpart.
