Service availability, specifications, and delivery timelines are subject to separate agreements and project scopes defined at the time of engagement.
3. User Accounts
To access certain features of our Carbon Analytics Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials.
- Notify us immediately of any unauthorized use or security breach.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Intellectual Property
All content, software, algorithms, designs, trademarks, and technology provided by Verdantix are the exclusive property of Verdantix or its licensors and are protected by intellectual property laws.
4.1 Licenses
We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes. You may not reverse engineer, decompile, or attempt to extract source code from our software.
4.2 Client Data
You retain ownership of the data you input into our systems. However, you grant Verdantix a license to process, store, and analyze such data as necessary to provide the Services. Aggregated, anonymized data may be used for research and product improvement.
5. Prohibited Conduct
You agree not to use the Services to:
- Violate any applicable local, national, or international law.
- Interfere with or disrupt the integrity or performance of the Services.
- Attempt to gain unauthorized access to other accounts or networks.
- Use the Services for any unlawful or unethical purpose, including greenwashing misrepresentations.
- Resell or redistribute our software without explicit written permission.
6. Limitation of Liability
To the maximum extent permitted by law, Verdantix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.
Our total aggregate liability for any claim shall not exceed the total amount paid by you to Verdantix for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

7. Indemnification
You agree to indemnify and hold harmless Verdantix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
8. Dispute Resolution
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, the dispute shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration shall take place in San Francisco, California, and shall be conducted in English. Judgment on the arbitration award may be entered in any court having jurisdiction.
9. Changes to Terms
Verdantix reserves the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on our website. Continued use of the Services after such changes constitutes acceptance of the new Terms.
