1. Introduction

This License Agreement ("Agreement") governs your use of the Webui software platform, associated tools, components, templates, and services (collectively, the "Software"). By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are using the Software on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Grant of License

Subject to the terms of this Agreement and your active subscription plan (if applicable), Webui grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business or personal projects. This license includes the right to generate, export, and deploy code, designs, and assets created through the platform in accordance with your selected plan tier.

3. Restrictions

You may not, under any circumstances:

Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software.
Remove, alter, or obscure any proprietary notices, labels, or copyright attributions.
Use the Software to build a competing product, service, or platform.
Export, sublicense, lease, rent, or redistribute the Software or its core engine to third parties.
Use the platform to generate, host, or distribute content that violates applicable laws or infringes on third-party rights.

4. Intellectual Property

All rights, title, and interest in and to the Software, including all related intellectual property rights, remain the exclusive property of Webui and its licensors. Generated outputs (code, designs, assets) created through your authorized use are owned by you, provided you maintain an active account and comply with this Agreement. Webui retains the right to use anonymized, aggregated usage data for product improvement and analytics.

5. User Data & Content

You retain ownership of all content you upload or create within the platform. Webui acts solely as a processor and does not claim ownership over your proprietary designs or code. You are responsible for ensuring your content complies with applicable laws and does not infringe upon the rights of others. Webui may temporarily cache data for performance optimization but will purge caches according to our documented retention policy.

6. Termination

Your license is effective until terminated. Webui may terminate or suspend access immediately, without prior notice, if you breach this Agreement. Upon termination, your right to use the Software ceases, and you must delete all copies of exported assets tied to your account, except for projects already deployed and operating independently. All provisions intended to survive termination shall remain in effect.

7. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION. WEBUI DOES NOT GUARANTEE UNINTERRUPTED, SECURE, OR TIMELY ACCESS TO THE PLATFORM.

8. Limitation of Liability

To the maximum extent permitted by law, Webui and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use the Software.

9. License Updates

Webui reserves the right to modify this Agreement at any time. Material changes will be communicated via email or in-platform notification at least 30 days prior to the effective date. Continued use of the Software following such changes constitutes acceptance of the updated terms.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
