Please read these Terms of Service carefully before using the Webui platform. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing, browsing, or using the Webui platform, software, tools, and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the Services.
These terms constitute a legally binding agreement between you and Webui, Inc. ("Company", "we", "us", or "our"). We reserve the right to update or modify these terms at any time, and your continued use of the Services following such changes constitutes your acceptance of the updated terms.
2. Description of Services
Webui provides a cloud-based design-to-code platform that enables users to create, customize, and deploy web interfaces using visual building tools, component libraries, and automated code generation. Our Services include:
- Visual drag-and-drop interface builder
- Component library and template marketplace
- Code generation and export functionality
- Cloud hosting, deployment pipelines, and CDN distribution
- Collaboration tools, version control, and team management features
- Analytics, performance monitoring, and optimization tools
The availability of specific features may vary depending on your subscription plan. Webui reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
3. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Each account is for your personal or organizational use only, unless you are on a team or enterprise plan. You may not sell, transfer, or share your account credentials with third parties without our prior written consent. If you suspect unauthorized access to your account, you must notify us immediately.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
- Distribute malware, engage in phishing, or conduct unauthorized scanning or attacks
- Automate access to the Services using bots, scrapers, or other automated means without explicit permission
- Resell, redistribute, or provide the Services to third parties as a standalone product
- Generate or host content that is defamatory, obscene, hateful, or harmful
We reserve the right to investigate and take appropriate legal action against anyone who violates this policy, including terminating accounts and reporting to law enforcement.
5. Intellectual Property
All content, features, functionality, code, design, text, graphics, logos, icons, and software comprising the Services are the exclusive property of Webui, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Your Content
You retain all ownership rights to the projects, designs, and code you create using the Services ("Your Content"). By using the Services, you grant Webui a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely for the purpose of providing and improving the Services.
Generated Code
Code generated through the Webui platform is licensed to you for use in your projects. You may modify, distribute, and commercialize generated code, provided you comply with any open-source license requirements that may apply to underlying components.
6. Privacy & Data
Your privacy is important to us. Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing and acknowledge that data may be transferred to and processed in countries other than your own.
7. Third-Party Services
The Services may integrate with or link to third-party websites, APIs, and tools. We do not control and are not responsible for the content, privacy policies, or practices of third parties. Your use of third-party services is at your own risk, and any disputes with third parties must be resolved directly with them.
8. Termination
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. You may export your content within 30 days of account termination. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Webui and its officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
Our total aggregate liability for any claim arising from or relating to the Services shall not exceed the amount you paid us during the 12 months preceding the claim, or $100 USD if you are on a free plan.
10. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes via email, platform notifications, or by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new terms. If you do not agree with the updated terms, you must discontinue use of the Services.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved through binding individual arbitration in San Francisco, California, administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. Class action lawsuits and class-wide arbitration are expressly waived.
