Governing Law & Jurisdiction

1. Introduction

This Governing Law & Jurisdiction agreement supplements the Wp Admin Terms of Service and outlines the legal framework applicable to all relationships, transactions, and disputes between Wp Admin ("Company," "we," "us," or "our") and users, clients, partners, or third parties interacting with our WordPress administration and management services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by the governing law and jurisdictional provisions set forth in this document.

2. Governing Law

All rights, obligations, claims, disputes, and any other matters arising out of or relating to our Services, this Governing Law agreement, or your use of our platform shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles that would result in the application of the laws of any other jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this agreement.

3. Jurisdiction & Venue

Any legal suit, action, or proceeding arising out of or related to this Governing Law agreement or the Services must be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, located in Newark, Delaware. You and Wp Admin irrevocably waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, Wp Admin reserves the right to bring any action against you in your local courts for causes related to intellectual property infringement or theft, and you hereby consent to and submit to the in personam jurisdiction of such courts.

4. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to this Governing Law agreement or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware.

You may choose to waive your right to arbitration and be heard in court if you provide Wp Admin with written notice of your intent to do so within 60 days of the date the claim or dispute is filed. Your right to bring a claim in small claims court is not waived by this provision.

5. Class Action Waiver

You and Wp Admin agree that any arbitration or proceeding shall be conducted on an individual basis and not in a consolidated, class-wide, or representative action. If a class action waiver is found to be unenforceable or inapplicable, this provision shall be severable, and all other provisions shall remain in full force and effect.

No arbitrator shall have the authority to consolidate claims or preside over any form of class, representative, or private attorney general proceedings.

6. Severability

If any provision of this Governing Law agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect and shall not be affected by the limited or eliminated provision.

7. Amendments & Modifications

Wp Admin reserves the right, at our sole discretion, to modify, replace, or update this Governing Law agreement at any time. Any changes will be effective immediately upon posting the revised agreement to our website. It is your responsibility to review this page periodically. Your continued use of our Services following the posting of changes constitutes acceptance of those changes.

We will notify users of material changes via email or through a prominent notice on our dashboard within 10 days of the effective date.
