By accessing, subscribing to, or utilizing any services provided by Wp Admin ("Company," "we," "us," or "our"), you acknowledge and agree to the following limitation of liability terms. This policy applies to all WordPress administration, maintenance, hosting management, and related technical services provided by Wp Admin.
1. Scope of Services & Assumption of Risk
Wp Admin provides technical WordPress management services on a best-efforts basis. While we implement industry-standard security protocols, maintenance procedures, and optimization techniques, we do not guarantee uninterrupted, error-free, or completely secure service. You acknowledge that operating any website inherently carries risks, including but not limited to security breaches, data loss, server downtime, third-party plugin conflicts, and unforeseen software vulnerabilities.
⚠️ You assume full responsibility for the content hosted on your website, including compliance with applicable laws, copyright regulations, and data privacy requirements.
2. Disclaimer of Warranties
To the fullest extent permitted by applicable law, Wp Admin and its affiliates, officers, directors, employees, and agents provide all services "as is" and "as available" without warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding uninterrupted, secure, or timely service delivery
- Guarantees of specific website performance metrics, search engine rankings, or traffic outcomes
- Accuracy or completeness of automated reports, backups, or diagnostic data
3. Limitation of Liability
In no event shall Wp Admin, its partners, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data, content, or website functionality
- Business interruption or diminished online presence
- Costs of procurement of substitute goods or services
- Any other damages arising from the use or inability to use our services
Our total aggregate liability for any claim, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you to Wp Admin during the six (6) months immediately preceding the event giving rise to the claim.
4. Data, Security & Third-Party Services
While we implement reasonable security measures to protect your website and data, we cannot guarantee absolute protection against cyber threats, malware, hacking attempts, or data breaches. Wp Admin is not responsible for:
- Security vulnerabilities introduced by third-party plugins, themes, or custom code not vetted by our team
- Account compromises resulting from weak credentials or unauthorized client-side access
- Actions taken by external hosting providers, CDN networks, or API integrations outside our direct control
- Loss or corruption of data if client-configured backup retention policies or manual exports are neglected
5. Client Responsibilities
To ensure optimal service delivery and maintain our liability protections, you agree to:
- Provide accurate, up-to-date access credentials and promptly update them when requested for security purposes
- Review and approve staging deployments, critical updates, and configuration changes within agreed timeframes
- Notify Wp Admin immediately of any suspected security incidents, unusual activity, or service disruptions
- Ensure all website content complies with applicable laws, platform guidelines, and licensing agreements
6. Force Majeure
Wp Admin shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet infrastructure failures, telecommunications outages, power grid disruptions, or actions of third-party service providers.
7. Governing Law & Dispute Resolution
This limitation of liability shall be governed by and construed in accordance with the laws of the jurisdiction in which Wp Admin is legally registered, without regard to conflict of law principles. Any disputes arising from or related to these terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in accordance with applicable rules, with the prevailing party entitled to recover reasonable legal fees and costs.
8. Policy Updates & Acknowledgment
Wp Admin reserves the right to modify this Limitation of Liability policy at any time. Material changes will be communicated via email or through our client dashboard. Continued use of our services following such modifications constitutes your acceptance of the updated terms. If you do not agree with any portion of this policy, you must discontinue use of Wp Admin services immediately.
