Acceptance of Terms & Conditions

1. Agreement to Terms
By accessing, registering, or using any services, products, or platforms provided by Cup Source ("Company", "we", "us", or "our"), you ("User", "Client", or "you") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you are using our services on behalf of a business or entity, you represent that you have the authority to bind that entity to these terms.
2. Scope of Services
Cup Source operates as a wholesale supplier and manufacturer of premium disposable and reusable drinkware, including but not limited to paper cups, plastic containers, takeaway bowls, lids, sleeves, and custom-branded packaging solutions. All products are intended for commercial, retail, and foodservice use unless explicitly marked otherwise.
3. Ordering, Pricing & Payment
• All orders are subject to product availability and final acceptance by Cup Source.
• Prices are quoted in USD unless otherwise specified and are subject to change based on material costs, volume adjustments, or shipping zones.
• Payment is due according to the terms outlined in your purchase order or invoice. Late payments may incur a 1.5% monthly interest charge or result in service suspension.
4. Shipping, Delivery & Risk of Loss
• Orders are fulfilled from our distribution centers. Standard delivery timelines are 3–7 business days unless expedited shipping is selected.
• Risk of loss or damage transfers to the client upon delivery to the carrier or upon receipt at the designated address, depending on the shipping terms (FOB/DAP).
• Claims for missing, damaged, or defective items must be reported within 5 business days of delivery with photographic evidence and invoice details.
5. Custom Branding & Intellectual Property
• Clients retain ownership of all logos, artwork, and trademarks submitted for custom printing. Cup Source is granted a limited, non-exclusive license to reproduce such marks solely for the purpose of fulfilling the ordered products.
• Cup Source reserves the right to reject artwork that violates copyright, trademark, or contains offensive or unlawful content. Final print proofs must be approved in writing before production begins.
6. Product Specifications & Warranty
• All products are manufactured using food-grade, FDA-compliant materials where applicable. While we strive for consistency, minor variations in color, texture, or sizing may occur due to natural material properties and printing processes.
• Cup Source warrants that all products will be free from manufacturing defects. This warranty does not cover normal wear, improper storage, or use outside intended parameters.
7. Limitation of Liability
To the maximum extent permitted by law, Cup Source shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our products or services. Our total liability shall not exceed the total amount paid by the client for the specific order giving rise to the claim.
8. Privacy & Data Protection
• Your business information, contact details, and transaction data are processed in accordance with our Privacy Policy. We do not sell, rent, or share your data with third parties except as necessary for order fulfillment, payment processing, or legal compliance.
• By accepting these terms, you consent to the collection and use of your data as described in our Privacy Policy.
9. Modifications & Termination
• Cup Source reserves the right to modify these terms at any time. Material changes will be communicated via email or platform notification. Continued use after such notice constitutes acceptance of the revised terms.
• Either party may terminate the business relationship with 30 days written notice. Pending orders must be fulfilled unless otherwise mutually agreed.
10. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these terms shall first be addressed through good-faith negotiation, followed by binding arbitration if unresolved within 30 days.
11. Acceptance
By checking the box below and submitting your acceptance, you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and voluntarily agree to be bound by all terms stated herein.
