1. Acceptance of Terms

By accessing, browsing, or purchasing from Cup Source (the "Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please discontinue use of our website and services immediately.

These Terms constitute a legally binding agreement between you and Cup Source. Additional policies, including our Privacy Policy and Return Policy, may apply and are incorporated by reference.

2. Definitions

• "Products" refers to all disposable cups, bowls, lids, sleeves, utensils, and related beverage packaging sold through our platform.
• "Business Customer" means any corporation, partnership, LLC, or other legal entity purchasing Products for commercial use.
• "Custom Branding" refers to products personalized with your company’s logo, colors, or specific design specifications.
• "Wholesale Pricing" denotes volume-based pricing structures available to verified business accounts.

3. User Accounts & Registration

To access wholesale pricing, track orders, or save product preferences, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials and notify us immediately of any unauthorized use.
• Accept responsibility for all activities conducted under your account.
• Not share, transfer, or resell account access to unauthorized third parties.

Cup Source reserves the right to suspend or terminate accounts that violate these Terms, request fraudulent pricing, or engage in suspicious purchasing behavior.

4. Products, Orders & Availability

We strive to display accurate product descriptions, images, and specifications. However, slight variations in color, texture, or sizing may occur due to manufacturing processes or photographic lighting.

All orders are subject to availability and verification. Cup Source reserves the right to:

• Refuse, cancel, or limit any order for any reason, including suspected fraud or supply chain constraints.
• Notify you immediately if a product becomes unavailable or if a pricing error is identified.
• Substitute a product with a comparable item of equal or greater value with prior written consent.

Order confirmation does not guarantee acceptance. Acceptance occurs only when we ship your order and you receive a shipping notification.

5. Pricing & Payment

All prices are listed in USD unless otherwise specified and are subject to change without notice. Wholesale pricing applies only to verified business accounts meeting minimum order quantities.

Accepted payment methods include major credit/debit cards, ACH bank transfers, and approved net-30 terms for qualified business customers. Taxes, duties, and applicable surcharges will be calculated and displayed at checkout.

Payment is due at the time of order placement unless alternate credit terms have been formally approved in writing by Cup Source. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Shipping, Delivery & Risk of Loss

We partner with reputable carriers to fulfill and deliver orders. Delivery estimates are provided for guidance only and are not guaranteed.

Risk of loss and title to Products pass to you upon delivery to the carrier (FOB Origin) unless otherwise agreed. For custom-branded or large freight orders, delivery terms (FOB Destination) will be specified in your purchase order confirmation.

If your shipment arrives damaged or incomplete, you must inspect the goods upon delivery and file a claim with us within 48 hours of receipt. We will coordinate with the carrier to resolve the issue promptly.

7. Returns, Refunds & Exchanges

Standard Products: Returns of unused, unopened standard products in original packaging are accepted within 14 days of delivery. A restocking fee of 15% may apply to wholesale bulk returns.

Custom/Branded Products: Due to their made-to-order nature, custom-branded items are non-returnable and non-refundable unless they arrive defective or do not match the approved proof. All custom orders require written approval of digital proofs before production begins.

Refunds will be processed to the original payment method within 7–10 business days after we receive and inspect the returned items. Customers are responsible for return shipping costs unless the return is due to our error or a product defect.

8. Intellectual Property & Custom Branding

All content on this website, including text, graphics, logos, images, and software, is the property of Cup Source or its licensors and is protected by copyright, trademark, and other intellectual property laws.

When you commission custom branding, you retain ownership of your submitted artwork and trademarks. Cup Source receives a limited license to reproduce your designs solely for fulfilling your order. By submitting artwork, you represent that you own or have properly licensed all rights to the materials and that they do not infringe upon any third-party rights. You agree to indemnify Cup Source against any claims arising from your submitted designs.

9. User Conduct & Prohibited Uses

You agree to use our website and services only for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to:

• Misrepresenting your business credentials to access wholesale pricing.
• Attempting to reverse-engineer, scrape, or extract product data or pricing algorithms.
• Using automated bots or scripts to place orders or manipulate inventory.
• Reselling Cup Source products under a misleading brand or without proper attribution.

Violation of these provisions may result in immediate account termination, forfeiture of pending orders, and legal action.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Cup Source and its affiliates, officers, directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our website or purchase of Products.

Our total aggregate liability for any claim related to these Terms or any order shall not exceed the total amount paid by you for the specific Products giving rise to the claim.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and judgment on the award may be entered in any court having jurisdiction.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against Cup Source.

12. Changes to These Terms

Cup Source reserves the right to modify, amend, or replace these Terms at any time. Material changes will be communicated via email to registered account holders or through a prominent notice on our website. Your continued use of our services following the posting of revised Terms constitutes acceptance of those changes.
