Dictionary Partner Agreement

Official partnership framework outlining collaboration terms, revenue sharing, responsibilities, and compliance guidelines for authorized partners.

1. Overview & Purpose

This Partner Agreement ("Agreement") establishes the terms under which authorized third parties ("Partners") may integrate, promote, and distribute Dictionary's language technology platform. By accepting this Agreement, Partners agree to collaborate in good faith to expand global access to accurate, AI-enhanced linguistic resources.

📌 Note: This Agreement supplements, but does not replace, the Dictionary Master Service Agreement. In case of conflict, the Master Service Agreement governs.

2. Partner Eligibility

To qualify for the Dictionary Partner Program, applicants must meet the following criteria:

  • Be a legally registered entity or independent contractor in good standing.
  • Maintain an active web presence or application with minimum 10,000 monthly active users.
  • Agree to comply with Dictionary's Brand Guidelines, API Usage Policies, and Data Privacy Standards.
  • Not be engaged in competing dictionary or thesaurus SaaS platforms.
  • Pass a preliminary technical and security review conducted by Dictionary.

3. Partnership Tiers

Partners are assigned to a tier based on integration depth, user base, and performance metrics. Tiers may be adjusted quarterly upon review.

4. Partner Responsibilities

Partners agree to uphold the following obligations throughout the duration of this Agreement:

  1. Brand Integrity: Use Dictionary trademarks, logos, and branding strictly in accordance with the provided Style Guide.
  2. Data Security: Implement industry-standard encryption (TLS 1.2+), secure key management, and regular vulnerability assessments.
  3. Accurate Representation: Clearly disclose Dictionary's role as the underlying provider and avoid misleading claims about capabilities.
  4. Performance Monitoring: Maintain uptime ≥99.5% for public-facing integrations and promptly report anomalies.
  5. Content Moderation: Filter user-generated queries to prevent abusive, illegal, or non-compliant requests before API transmission.

5. Revenue & Commission Structure

Dictionary provides a transparent, performance-based revenue sharing model. Commissions are calculated on net recurring revenue (NRR) generated through Partner-referred or integrated users.

  • Standard Tier: 15% commission on attributed subscriptions.
  • Premium Tier: 22% commission + co-marketing fund allocation (up to $5K/mo).
  • Enterprise Tier: Custom negotiated rate (25–35%) + white-label licensing options.

Payouts are issued net-30 via wire transfer or PayPal. Detailed attribution reports are available in the Partner Dashboard under /analytics/revenue.

6. Term & Termination

Initial Term & Renewal
This Agreement commences on the Effective Date and remains in force for twelve (12) months. It automatically renews for successive one-year periods unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration date.
Termination for Cause
Dictionary reserves the right to terminate this Agreement immediately upon written notice if the Partner breaches material terms, violates data protection regulations, engages in fraudulent activity, or fails to remedy a breach within fifteen (15) days of written notice.
Post-Termination Obligations
Upon termination, Partners must cease all use of Dictionary trademarks, API endpoints, and proprietary documentation. Outstanding commissions will be paid in full within forty-five (45) days. Confidential information must be securely destroyed or returned.

7. Legal & Compliance

This Agreement is governed by the laws of the State of Delaware, USA. Both parties agree to:

  • Comply with GDPR, CCPA, and applicable international data privacy frameworks.
  • Maintain confidentiality of all non-public information shared during the partnership.
  • Indemnify and hold harmless Dictionary from claims arising from the Partner's negligence, misuse, or breach.
  • Submit to exclusive jurisdiction in Delaware courts for dispute resolution.

⚖️ Limitation of Liability: Dictionary's aggregate liability under this Agreement shall not exceed the total fees paid by the Partner in the six (6) months preceding the claim.

8. Acceptance & Digital Signature

By digitally signing below, the authorized representative acknowledges reading, understanding, and agreeing to all terms contained in this Partner Agreement.
