Acceptance of Terms

1. Introduction & Acceptance

Welcome to FlowCMS. By accessing, registering, or using the FlowCMS platform, APIs, or any associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

Important: These Terms constitute a legally binding agreement between you and FlowCMS, Inc. Please review them carefully before proceeding.

2. Definitions

"User" or "You" refers to any individual or entity accessing or using the Services.
"Content" refers to any text, images, data, code, media, or other materials uploaded, created, or managed through the Services.
"Platform" refers to the FlowCMS web interface, APIs, documentation, and related software tools.

3. Account Registration & Security

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to provide accurate, current information during registration and to promptly update any changes.

FlowCMS employs industry-standard security measures to protect your data, but no internet transmission is 100% secure. You acknowledge that you use the Services at your own risk regarding security breaches.

4. Permitted Use & Restrictions

You may use the Services solely for lawful purposes and in accordance with these Terms. You agree not to:

Use the Services to distribute malware, spam, or illegal content
Attempt to reverse-engineer, decompile, or extract source code from the Platform
Exceed your plan's usage limits or manipulate API rate limits
Impersonate FlowCMS staff, other users, or misrepresent your affiliation

FlowCMS reserves the right to suspend or terminate access for violations of these restrictions without prior notice.

5. Content Ownership & Licensing

You retain all ownership rights to your Content. By uploading Content, you grant FlowCMS a worldwide, non-exclusive, royalty-free license to host, process, and deliver your Content solely to provide and improve the Services. FlowCMS claims no ownership over your Content.

You represent and warrant that your Content does not infringe on any third-party intellectual property, privacy rights, or applicable laws.

6. Payment & Billing

Certain features require a paid subscription. All fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified. Prices are listed in USD and exclude applicable taxes. You authorize automatic payment via your provided method. Refund policies are outlined separately in our Billing Policy.

7. Termination

You may terminate your account at any time via the dashboard or by contacting support. FlowCMS may terminate or suspend access for violations of these Terms, non-payment, or extended inactivity. Upon termination, your right to use the Services will immediately cease. FlowCMS will provide reasonable access to export your Content upon termination, subject to applicable plan features.

8. Limitation of Liability & Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by law, FlowCMS shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the Services, including but not limited to data loss, revenue loss, or business interruption.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

FlowCMS may update these Terms to reflect changes in our Services, legal requirements, or business practices. We will notify users of material changes via email or platform notification at least 30 days prior to the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
