1. Acceptance of Terms

By accessing or using the FlowCMS platform, APIs, documentation, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and responsibilities, including limitations on liability and mandatory arbitration.

2. Account Registration & Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current. You are responsible for safeguarding your password and for all activities that occur under your account.

You must immediately notify us at security@flowcms.io of any unauthorized use of your account or any other breach of security.

3. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of FlowCMS, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FlowCMS, Inc.

Upon termination of your account, all licenses granted to you under these Terms will immediately terminate. You must cease all use of the Service and destroy all copies of any documentation or materials provided to you.

4. User Content & Guidelines

You retain all ownership rights to the content you create, upload, or manage through FlowCMS ("User Content"). By submitting User Content, you grant FlowCMS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, and distribute such content solely as necessary to provide, improve, and secure the Service.

You represent and warrant that you own or have the necessary rights, licenses, and consents to use and authorize FlowCMS to use your User Content in accordance with these Terms.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Transmit any material that is defamatory, offensive, or otherwise objectionable.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks.
  • Use the Service to collect or harvest any personally identifiable information.
  • Reverse engineer, decompile, or disassemble any portion of the Service.

6. Service Modifications & Availability

FlowCMS reserves the right to modify, suspend, or discontinue the Service or any features at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. The Service is provided "as is" and "as available" without warranties of any kind.

7. Billing & Subscriptions

Certain features of the Service require a paid subscription. All fees are stated in U.S. Dollars and are non-refundable, except as explicitly stated in a separate agreement or required by law. By subscribing, you authorize FlowCMS or its payment processors to charge your payment method for recurring fees at the stated interval until you cancel.

You may cancel your subscription at any time by logging into your account dashboard. Cancellation takes effect at the end of the current billing cycle.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FLOWCMS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL FLOWCMS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless FlowCMS, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) your User Content.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be finally settled by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall take place in San Francisco, California.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
