8.1 Right to Terminate
Either party may terminate this Agreement and your use of the FlowCMS services under the conditions outlined in this section. Termination may occur for cause, for convenience, or due to prolonged inactivity, subject to the provisions below.
8.2 Termination by FlowCMS
FlowCMS reserves the right to suspend or terminate your access to the services, in whole or in part, at any time without prior notice if:
- You materially breach any provision of this Agreement and fail to cure such breach within thirty (30) days of written notice;
- You violate applicable laws, regulations, or third-party rights;
- FlowCMS determines, in its sole discretion, that your use of the services poses a security risk or violates our Acceptable Use Policy;
- You have failed to pay outstanding invoices or payment obligations for more than thirty (30) days;
- The service is discontinued or substantially modified for business reasons.
Note: FlowCMS will make commercially reasonable efforts to notify you before suspension or termination, except in cases of emergency security threats or suspected fraudulent activity.
8.3 Termination by You
You may terminate this Agreement and your FlowCMS account at any time by:
- Using the self-service cancellation option in your account settings;
- Contacting our support team at support@flowcms.io with a written request;
- Allowing your subscription to expire at the end of the current billing cycle (for paid plans).
Upon termination by you, your access to paid features will continue until the end of your pre-paid billing period. Free-tier accounts will be deactivated immediately upon cancellation request.
8.4 Cessation of Services & Access
Effective upon the termination date, your authorization to use the FlowCMS platform will cease. FlowCMS will disable your administrative access, revoke API keys, and stop all active webhooks or integrations associated with your account. Any scheduled publishing tasks will be halted.
8.5 Data Export & Post-Termination Retention
FlowCMS values data ownership and portability. Prior to or immediately upon termination:
- You may export your content, metadata, and configuration files using our bulk export tools;
- FlowCMS will retain a backup of your data for thirty (30) days following termination to facilitate recovery if requested;
- After the retention period, all data will be permanently deleted or anonymized in accordance with our Data Processing Agreement and applicable privacy laws (e.g., GDPR, CCPA);
- You are responsible for downloading or migrating any content before the retention window expires.
8.6 Payment Obligations & Refunds
All fees accrued and unpaid prior to the termination date remain immediately due and payable. FlowCMS does not issue prorated refunds for partial billing periods unless otherwise required by law or explicitly stated in your purchase agreement. Enterprise customers may request termination refunds per the terms of their signed commercial contract.
8.7 Survival of Provisions
Certain provisions of this Agreement shall survive termination, including but not limited to: Intellectual Property Rights, Confidentiality, Limitation of Liability, Indemnification, Data Privacy obligations, and any dispute resolution mechanisms outlined in Section 12. Survival does not imply that other terms remain enforceable post-termination unless explicitly stated.
