1. Acceptance of Terms

By accessing, using, or engaging with Isdomain ("Company", "we", "us", or "our") services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

These Terms apply to all services provided by Isdomain, including but not limited to brand naming, branding & identity design, legal basics consulting, domain acquisition assistance, and related advisory services.

2. Scope of Services

Isdomain provides consulting, creative, and administrative services related to business naming, brand development, and foundational legal guidance. Our services include:

• Brand Naming: Creative name generation, linguistic screening, cultural analysis, and availability verification.
• Branding & Identity: Strategic positioning, logo design, brand guidelines, typography, color systems, and messaging frameworks.
• Legal Basics Consulting: Foundational guidance on business entity formation, trademark filing procedures, contract templates, intellectual property basics, and compliance checklists.
• Domain & Digital Assets: Availability research, registration facilitation, and transfer coordination.

Specific deliverables, timelines, and scope will be outlined in individual client agreements or project briefs.

3. Legal Disclaimer & Professional Advice

While our team conducts thorough research and follows established legal frameworks, regulations vary by country, state, and industry. Clients are strongly encouraged to retain qualified legal counsel for jurisdiction-specific matters, complex litigation, tax implications, or specialized regulatory compliance.

4. Intellectual Property & Naming Rights

4.1 Pre-Existing Materials

All brand names, logos, concepts, and strategic frameworks created by Isdomain remain our intellectual property until full payment of all agreed fees has been received. Upon payment, a non-exclusive, perpetual license is granted to the client for the approved deliverables, unless otherwise specified in a work-for-hire agreement.

4.2 Unselected Concepts

Names, logos, or brand concepts presented but not selected by the client remain the property of Isdomain. Clients may not use, reproduce, or register unselected concepts without written permission.

4.3 Third-Party Rights

Isdomain performs standard availability checks (trademark databases, domain registrars, social platforms). However, we cannot guarantee absolute legal availability or non-infringement. Clients assume responsibility for final trademark registration and ongoing IP protection.

5. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide accurate, complete, and timely information regarding business goals, target markets, and brand preferences.
• Respond to review requests, feedback, and approval milestones within agreed timeframes.
• Conduct independent verification of legal, regulatory, or financial advice before implementation.
• Secure necessary permits, registrations, or licenses required for their specific business operations.

Delays caused by client unresponsiveness, incomplete information, or scope changes may result in revised timelines and additional fees.

6. Fees, Payment & Refunds

6.1 Payment Structure

Fees are structured per project or retainer, as outlined in the client proposal. A non-refundable deposit is typically required to commence work. Remaining balances are due upon milestone completion or project delivery, as specified.

6.2 Late Payments

Invoices unpaid after 15 days of the due date may incur a late fee of 1.5% per month or the maximum allowable by law. Isdomain reserves the right to pause or suspend services for overdue accounts.

6.3 Refund Policy

Due to the custom and irreversible nature of creative and consulting work, refunds are generally not provided once work has commenced. Exceptions may be made in writing for service deficiencies or failure to deliver agreed milestones.

7. Limitation of Liability

To the fullest extent permitted by law, Isdomain's total liability for any claim arising from or related to these services shall not exceed the total fees paid by the client for the specific project in question. Isdomain shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business interruption, or third-party claims resulting from brand adoption or legal filings.

8. Confidentiality

Isdomain agrees to treat all client business information, strategic concepts, and proprietary data as confidential. We will not disclose, sell, or share client materials with third parties without explicit written consent, except as required by law or to complete contracted services. Clients are encouraged to mark sensitive materials as "Confidential."

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from these services shall first be subject to good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association.

10. Modifications to Terms

Isdomain reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services following updates constitutes acceptance of the revised Terms. We encourage clients to review this page periodically.
