Partner Agreement

1. Partnership Scope & Eligibility

This Agreement is entered into between Paws Source, Inc. ("Company") and the individual or business entity listed in the Partner Portal ("Partner"). By accepting this Agreement, the Partner agrees to provide specified pet care services through the Paws Source platform under the terms outlined herein.

Eligible partnership categories include, but are not limited to:

• Licensed Veterinary Professionals & Clinics
• Certified Pet Groomers & Mobile Grooming Units
• Approved Pet Boarding & Daycare Facilities
• Qualified Pet Trainers & Behaviorists
• Verified Pet Nutrition & Product Suppliers

2. Partner Responsibilities & Standards

Partners agree to uphold the Paws Source Quality Standards, which include:

1. Maintaining professional, pet-safe facilities and equipment compliant with local health and safety regulations.
2. Responding to client inquiries, booking requests, and support tickets within 24 hours during operational hours.
3. Providing accurate service descriptions, pricing, and availability through the Partner Dashboard.
4. Reporting any incidents, adverse reactions, or customer complaints to Paws Source within 12 hours of occurrence.
5. Adhering to ethical treatment standards and refraining from unnecessary medical procedures or upselling without explicit owner consent.

Failure to maintain a minimum customer satisfaction rating of 4.5/5.0 over a rolling 90-day period may result in performance reviews or suspension.

3. Compensation & Payout Structure

Compensation is processed based on service category and platform tier:

• Service Commission: Paws Source retains a 15% platform fee on all completed bookings. Partners receive 85% of the gross service value.
• Product Sales: Marketplace suppliers pay a 12% fulfillment and listing fee. Bulk shipping discounts apply for monthly volumes exceeding 500 units.
• Payout Schedule: Net-15 terms. Payments are issued via direct deposit or ACH transfer every 15th of the month for services completed in the prior period.
• Refunds & Cancellations: Refunds initiated by clients due to Partner no-shows or service failures will be deducted from the Partner's next payout. Force majeure exceptions apply.

All tax responsibilities (1099-K/1099-NEC) remain the obligation of the Partner. Paws Source will issue annual tax documentation as required by IRS regulations.

4. Branding & Intellectual Property

Paws Source, its logo, taglines, platform UI, and proprietary care algorithms are the exclusive intellectual property of Paws Source, Inc. Partners are granted a limited, non-exclusive, non-transferable license to use the Paws Source Partner badge and approved marketing materials solely for the duration of this Agreement.

Unauthorized reproduction, modification, or third-party licensing of Paws Source materials is strictly prohibited. All customer reviews, ratings, and platform-generated content remain the property of Paws Source and may be used for platform improvement and marketing purposes.

5. Confidentiality & Data Protection

Partners shall treat all client data, pet medical records, payment information, and internal platform metrics as strictly confidential. Access to the Partner Dashboard is bound by SOC 2 Type II compliance standards.

• Client pet records may only be accessed for service fulfillment and must not be sold, shared, or used for external marketing.
• Data breaches must be reported to security@pawssource.com within 2 hours of discovery.
• Upon termination, all confidential data must be securely deleted or returned within 10 business days.

6. Term, Renewal & Termination

This Agreement commences upon electronic signature and remains in effect for a period of twelve (12) months, automatically renewing for successive one-year terms unless either party provides written notice of non-renewal at least thirty (30) days prior to expiration.

Either party may terminate this Agreement immediately for material breach, loss of professional licensure, fraud, or violation of animal welfare standards. Paws Source may suspend Partner access temporarily for investigation purposes without liability.

7. Liability & Indemnification

Partners shall maintain comprehensive general liability insurance and professional malice coverage (where applicable) with a minimum limit of $1,000,000 per occurrence. Paws Source shall not be held liable for injuries, losses, or disputes arising from services rendered by the Partner.

Partner agrees to indemnify and hold harmless Paws Source, its officers, employees, and affiliates from any claims, damages, or legal fees resulting from Partner negligence, misrepresentation, or breach of this Agreement.

8. Dispute Resolution & Amendments

Any disputes arising from this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be settled through binding arbitration under the rules of the American Arbitration Association in San Francisco, CA. Class action waivers apply.

Paws Source reserves the right to amend this Agreement with 15 days' written notice. Continued use of the Partner Portal following amendments constitutes acceptance. Major terms changes will require re-execution.
