01 Acceptance of Terms

By accessing, using, or engaging with PRISM Studio ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please discontinue use of our services immediately.

These Terms apply to all visitors, clients, contractors, and users interacting with PRISM Studio's digital platforms, proposals, contracts, and delivered creative work.

02 Services & Engagement

PRISM Studio provides creative, strategic, and technical services including but not limited to brand identity, web design, motion graphics, UX/UI design, and digital strategy. All engagements are governed by a signed Statement of Work (SOW) or service agreement specific to each project.

Scope, deliverables, timelines, and milestones will be defined in the SOW.
We reserve the right to decline any project or terminate ongoing work in accordance with Section 7.
Services are intended for lawful, commercial, and personal use in compliance with applicable regulations.

03 Intellectual Property

3.1 Pre-Engagement Materials

All methodologies, templates, frameworks, source files, and proprietary tools developed by PRISM Studio prior to or independent of your project remain our exclusive intellectual property.

3.2 Post-Engagement Deliverables

Upon full payment of all invoices, final approved deliverables are licensed exclusively to the client for their intended commercial and promotional use. Source files, work-in-progress drafts, and exploratory concepts remain the property of PRISM Studio unless explicitly transferred in writing.

3.3 Third-Party Assets

Any fonts, imagery, plugins, stock assets, or licensed software integrated into deliverables are subject to their respective third-party licenses. Clients are responsible for maintaining valid licenses for ongoing use.

04 Client Responsibilities

To ensure successful project delivery, clients agree to:

Provide accurate, timely, and complete information, assets, and feedback.
Designate a single point of contact for approvals and communications.
Review deliverables within the agreed feedback windows (typically 3–5 business days).
Refrain from requesting work that violates copyright, promotes illegal activities, or infringes upon third-party rights.

Delay Notice: Extended feedback periods or scope changes not covered in the original SOW may result in timeline adjustments and additional fees.

05 Payment & Invoicing

All fees are outlined in the project proposal or SOW. Standard payment terms are as follows:

Deposit: 50% due upon project kickoff before work commences.
Balance: Remaining 50% due upon project completion before final file delivery.
Revisions: Included revisions are specified in the SOW. Additional revision rounds will be billed at our standard hourly rate.
Late Payments: Invoices unpaid after 15 days will incur a 1.5% monthly late fee. Services may be paused until accounts are current.

06 Limitation of Liability

PRISM Studio provides services on an "as-is" and "as-available" basis. While we exercise professional care and industry-standard practices, we do not guarantee specific business outcomes, ROI, or third-party platform performance.

In no event shall PRISM Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services or deliverables. Our total liability shall not exceed the total fees paid by the client for the specific project in question.

07 Termination

Either party may terminate an engagement with 14 days written notice. Upon termination:

Clients will be invoiced for all work completed up to the termination date.
PRISM Studio will deliver all finalized and approved assets upon receipt of final payment.
Unpaid deposits are non-refundable if work has commenced or resources have been allocated.

We reserve the right to immediately terminate services if a client breaches these Terms, engages in unlawful conduct, or fails to meet payment obligations.

08 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be settled through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association. Court jurisdiction shall only apply to seek injunctive relief for intellectual property violations.

09 Amendments

PRISM Studio reserves the right to modify, update, or replace these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services following updates constitutes acceptance of the revised Terms. We encourage clients to review this page periodically.
