1. Governing Law

This agreement, including any terms, policies, invoices, statements of work, or ancillary documents governing the relationship between Alex Morgan ("Provider") and the client, user, or contractor ("Client"), shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles that would result in the application of the laws of any other jurisdiction.

All questions regarding the construction, validity, interpretation, and enforcement of this agreement shall be governed by and construed in accordance with the internal laws of the State of California.

2. Jurisdiction & Venue

The parties hereby agree that any legal suit, proceeding, or claim arising out of or related to this agreement shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, located in San Francisco County. The parties hereby irrevocably waive any right to a trial by jury in any action or proceeding arising out of or relating to this agreement.

Each party hereby submits to the personal jurisdiction of the above courts and waives any objections to such jurisdiction or venue.

3. Dispute Resolution Process

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute, claim, controversy, or question arising out of or relating to this agreement through good-faith negotiations.

  • Notice Period: The aggrieved party must provide written notice of the dispute to the other party detailing the nature of the claim and desired resolution.
  • Negotiation Window: Both parties agree to engage in direct negotiations for a period of no less than thirty (30) calendar days from receipt of written notice.
  • Escalation: If the dispute remains unresolved after the negotiation period, either party may initiate the formal mediation or arbitration processes outlined below.

4. Mediation & Binding Arbitration

Should direct negotiations fail, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator or through the American Arbitration Association (AAA), pursuant to its Commercial Mediation Procedures.

If mediation does not resolve the dispute within forty-five (45) days, the matter shall be resolved by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Arbitration shall take place in San Francisco, California, unless both parties agree in writing to an alternative location.

Note: Arbitration is generally more limited in scope and discovery than court litigation. The arbitrator may award the same damages and relief available in court, including injunctive and equitable relief, unless otherwise limited by applicable law.

5. Class Action Waiver

ANY DISPUTE RESOLUTION PURSUANT TO THIS SECTION SHALL CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF YOU DO NOT AGREE WITH THIS WAIVER, YOUR EXCLUSIVE REMEDY IS TO GIVE WRITTEN NOTICE TO THE PROVIDER THAT YOU DO NOT ACCEPT IT AND TO TERMINATE THIS AGREEMENT.

This waiver applies to all claims, whether known or unknown, arising out of or relating to this agreement or the services provided.

6. Severability & Amendments

If any provision of this Governing Law & Dispute Resolution policy is held to be invalid, illegal, or unenforceable by a court or arbitration panel of competent jurisdiction, such invalidity shall not affect the validity or enforceability of any other provision. The remaining provisions shall remain in full force and effect.

The Provider reserves the right to modify, amend, or update this policy at any time. Material changes will be communicated via written notice or publication on the official portfolio website. Continued use of services or engagement with the Provider following such modifications constitutes acceptance of the revised terms.

All legal correspondence must be sent in writing and will be acknowledged within five (5) business days.

This document constitutes a legally binding agreement. By engaging with our services, you acknowledge that you have read, understood, and agreed to be bound by these terms.
