By accessing or using the RaiseIt website, mobile applications, or related services, you acknowledge that you have read, understood, and agree to be bound by these terms. This page outlines the nature of our platform, funding risks, limitations of liability, user responsibilities, and governing legal frameworks.
1. Nature of the Platform
RaiseIt operates as a digital facilitation platform that connects project creators with potential backers, donors, or investors. We do not act as a broker, dealer, investment adviser, bank, or financial institution unless otherwise required by law in specific jurisdictions. Our role is limited to providing the technological infrastructure, payment processing integration, and community tools necessary to run crowdfunding campaigns.
Important: RaiseIt does not guarantee, endorse, validate, or independently verify the viability, legality, accuracy, or quality of any campaign posted on our platform. All projects are submitted by third-party creators at their own risk.
2. Crowdfunding & Investment Risks
Crowdfunding inherently carries significant financial and operational risks. By contributing to or funding a campaign, you acknowledge and accept that:
- No Guarantee of Return: Contributions are generally non-refundable donations, pre-orders, or speculative investments. There is no assurance of financial return, product delivery, or campaign success.
- Market & Execution Risk: Many projects are conceptual or in early development stages. Creators may face manufacturing delays, supply chain disruptions, regulatory hurdles, or technical failures.
- Liquidity Constraints: Funds committed to campaigns may not be redeemable prior to campaign conclusion or fulfillment, except where explicitly stated by the creator or required by applicable law.
- Valuation & Speculation: For reward-based or equity-style campaigns, projected valuations and reward tiers are estimates and do not constitute financial advice or market guarantees.
We strongly recommend conducting independent due diligence and consulting with qualified financial, legal, or tax professionals before making any commitments.
3. Project Outcomes & Deliverables
RaiseIt is not responsible for the fulfillment of rewards, products, services, or equity shares promised by campaign creators. Disputes regarding delivery, quality, timelines, or intellectual property related to a campaign are solely between the backer and the creator.
In the event of a failed or abandoned campaign, RaiseIt may offer mediation tools or community guidelines, but we hold no contractual obligation to reimburse contributors, recover funds, or enforce creator compliance beyond our Terms of Service.
4. User-Generated Content & Third-Party Links
Our platform allows users to post videos, images, text, updates, and comments. We do not claim ownership over user-generated content but require users to grant us a limited license to host, display, and distribute such material for platform operation.
RaiseIt is not liable for the accuracy, legality, or appropriateness of user posts. We reserve the right to remove content that violates our Community Guidelines, intellectual property rights, or applicable laws. Additionally, our platform may contain links to third-party websites, services, or resources. These links are provided for convenience and do not imply endorsement. We assume no responsibility for the content, privacy practices, or security of external sites.
5. Limitation of Liability
To the maximum extent permitted by applicable law, RaiseIt, its affiliates, directors, employees, contractors, and partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of funds, data, profits, business opportunities, or intellectual property
- Technical failures, service interruptions, payment processing errors, or cybersecurity incidents
- Reliance on platform information, campaign promises, or third-party advice
- Actions taken or not taken by other users, creators, or external service providers
Our total aggregate liability for any claim arising from or related to the use of our services shall not exceed the greater of $100 USD or the amount you have paid to RaiseIt in the preceding twelve months.
6. User Responsibilities
All users, including creators and backers, are responsible for:
- Providing accurate, truthful, and up-to-date registration and payment information
- Maintaining the confidentiality of account credentials and securing access devices
- Complying with all applicable local, state, federal, and international laws
- Avoiding fraud, misrepresentation, manipulation, or misuse of platform features
- Reporting suspicious activity, bugs, or security vulnerabilities promptly
Violation of these responsibilities may result in account suspension, campaign removal, fund holds, or legal action.
7. Governing Law & Dispute Resolution
These disclaimers and your use of the RaiseIt platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these terms shall first be subject to good-faith negotiation. If unresolved, disputes may be escalated to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Wilmington, Delaware. You waive the right to participate in class-action lawsuits or jury trials regarding platform-related claims.
8. Amendments & Updates
RaiseIt reserves the right to modify, update, or replace this Liability & Disclaimers page at any time. Changes become effective immediately upon publication. Continued use of the platform following updates constitutes acceptance of the revised terms. We encourage users to review this page periodically for changes. Significant modifications will be communicated via email or platform notifications where feasible.
