1. Introduction & Acceptance
Welcome to RaiseIt ("Company", "we", "us", or "our"). By accessing our website, mobile application, or using our crowdfunding platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these terms, you must not use our services.
These Terms constitute a legally binding agreement between you and RaiseIt regarding your use of our platform. We reserve the right to update these Terms at any time, and your continued use following updates constitutes acceptance of the revised terms.
2. Platform Services
RaiseIt provides a digital platform that enables project creators ("Creators") to solicit contributions from individuals and entities ("Backers") for creative, technological, charitable, or entrepreneurial projects. We act solely as an intermediary payment processor and platform facilitator.
Important Clarification: RaiseIt does not guarantee that any campaign will meet its funding goal. We do not vet, endorse, or verify the feasibility, legitimacy, or quality of any project hosted on our platform. Backers bear sole responsibility for evaluating projects before contributing.
3. User Accounts & Eligibility
To use RaiseIt, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Not create multiple accounts to circumvent platform limits or policies
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity. You are solely responsible for all activity occurring under your account.
4. Campaign Creation
4.1 Creator Responsibilities
Creators must provide honest, transparent, and complete information about their project, including realistic timelines, potential risks, and intended use of funds. Misrepresentation or failure to deliver on stated promises may result in account termination and forfeiture of unspent funds.
4.2 Campaign Review
All campaigns undergo a basic compliance review before going live. Approval for publication does not constitute an endorsement by RaiseIt. We may reject or remove campaigns that violate applicable laws, platform policies, or these Terms.
5. Funding & Payouts
Funding Model: RaiseIt operates on a "Flexible Funding" model by default. Funds are typically available to Creators regardless of whether the campaign meets its goal, unless otherwise specified. Creators must clearly state their fulfillment obligations if a campaign ends below target.
Fees: A platform fee of 5% and a payment processing fee of 2.9% + $0.30 per transaction applies to all successful contributions. Fees are deducted before payouts. Payouts are processed within 7 business days after a campaign concludes and all required documentation is verified.
6. Intellectual Property
Creators retain all intellectual property rights to their projects, campaign content, and related materials. By uploading content to RaiseIt, you grant us a worldwide, non-exclusive, royalty-free license to display, distribute, and promote your content solely for the purpose of operating and marketing the platform.
You agree not to upload material that infringes upon third-party copyrights, trademarks, or other proprietary rights. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid takedown notices.
7. Prohibited Conduct
You agree not to:
- Use the platform for illegal activities, fraud, or money laundering
- Misrepresent your identity, project, or funding needs
- Engage in spamming, harassment, or unauthorized data collection
- Manipulate campaign metrics, artificially inflate backer counts, or use automated tools
- Violate applicable export controls, sanctions, or restricted party regulations
8. Liability & Disclaimers
RaiseIt provides its services on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
In no event shall RaiseIt, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the platform. Our total aggregate liability shall not exceed the amount of platform fees paid by you in the 12 months preceding the claim.
9. Dispute Resolution & Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the platform shall first be subject to good-faith negotiation. If unresolved within 30 days, the dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware.
Class action waivers: You agree to waive any right to participate in class action lawsuits or consolidated proceedings against RaiseIt. Disputes will be resolved on an individual basis only.
10. Changes to Terms
We may modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email, platform notifications, or prominent website banners. Your continued use of RaiseIt following the effective date of revised terms constitutes acceptance.
