Terms of Service

Welcome to RaiseIt. These Terms of Service ("Terms") govern your use of the RaiseIt platform, including our website, mobile applications, and related services (collectively, the "Platform"). RaiseIt is operated by RaiseIt Inc. ("Company", "we", "us", or "our").

Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Fee Schedule. If you do not agree to these Terms, you may not use the Platform.

1. Definitions

  • "Campaign" means a project page created by a Creator to solicit contributions.
  • "Creator" means a User who creates a Campaign.
  • "Backer" means a User who contributes funds to a Campaign.
  • "Funds" means the money contributed by Backers to a Campaign.
  • "Rewards" means the items, services, or benefits offered by a Creator to Backers.

2. Eligibility & Accounts

2.1. Age Requirement: You must be at least 18 years old to use the Platform or enter into a legally binding contract. By using the Platform, you represent that you meet this requirement.

2.2. Registration: You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

2.3. One Account: You may only maintain one account per user role. Creating multiple accounts to manipulate rankings or fees is prohibited.

3. Creating a Campaign

3.1. Creator Responsibilities

By creating a Campaign, you agree to:

  • Provide accurate, truthful, and non-misleading information about the project, timeline, and costs.
  • Have the legal right to offer the Rewards.
  • Make commercially reasonable efforts to deliver Rewards to Backers within the promised timeframe.
  • Communicate regularly with Backers about the status of the project.

3.2. No Guarantee of Success

RaiseIt does not guarantee that your Campaign will reach its funding goal. We reserve the right to remove any Campaign that violates these Terms or applicable laws.

4. Backing a Campaign

4.1. Risk Acknowledgment

Crowdfunding is inherently risky. As a Backer, you acknowledge that projects may fail, timelines may slip, or products may differ from prototypes. Contributions are effectively donations or pre-orders with no guarantee of delivery.

4.2. Authorization to Charge

When you Back a Campaign, you authorize RaiseIt to charge your payment method for the full amount of your pledge. Charges are generally processed only if the Campaign meets its funding goal (all-or-nothing) unless otherwise specified.

4.3. Refunds

Refunds are at the sole discretion of the Creator, unless a chargeback is processed by your financial institution in accordance with their policies. RaiseIt is not a party to the transaction between Creator and Backer and does not manage refunds.

5. Fees & Payments

5.1. Platform Fees

If a Campaign is successfully funded, RaiseIt charges a platform fee of 5% of the total Funds raised, plus payment processing fees (approximately 3% + $0.30 per transaction). These fees are deducted before payout to the Creator.

5.2. Payouts

Funds are disbursed to the Creator according to the payout schedule selected at Campaign creation (e.g., upon completion or milestones). RaiseIt reserves the right to hold funds if fraud or dispute is suspected.

6. Intellectual Property

6.1. User Content: You retain ownership of any content you upload ("User Content"). By posting, you grant RaiseIt a worldwide, royalty-free, non-exclusive license to display, reproduce, and distribute your content solely to operate and promote the Platform.

6.2. Platform IP: The RaiseIt name, logo, and the Platform's design and code are the intellectual property of RaiseIt Inc. and may not be used without permission.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose.
  • Impersonate another person or entity.
  • Upload malicious software or interfere with the Platform's security.
  • Harass, threaten, or discriminate against other users.
  • Circumvent fees or engage in "off-platform" transactions for Campaign-related services.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RAISEIT DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RAISEIT DOES NOT WARRANT THAT CAMPAIGNS WILL DELIVER REWARDS OR THAT PROJECTS ARE LEGITIMATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAISEIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. RAISEIT'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY THE USER IN THE PRECEDING 12 MONTHS.

10. Dispute Resolution

10.1. Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10.2. Class Action Waiver: You agree to resolve disputes only on an individual basis, not as a plaintiff or class member in a class action.

10.3. Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or prominent notice on the Platform. Continued use after changes constitutes acceptance.
