Platform Disclosure & Legal Terms

RaiseIt is committed to transparency, regulatory compliance, and the protection of all platform participants. This document outlines the legal framework, risk factors, operational policies, and terms governing the use of the RaiseIt crowdfunding platform. By creating an account, listing a campaign, or providing financial backing, you acknowledge that you have read, understood, and agree to these disclosures.

1. Introduction & Scope

RaiseIt Inc. ("RaiseIt", "we", "us", or "our") operates a global crowdfunding marketplace that connects project creators with individual and institutional supporters. This disclosure applies to all users, including campaign creators ("Creators"), financial backers/investors ("Backers"), and platform administrators. It supplements, and where applicable supersedes, our Terms of Service and Privacy Policy.

2. Platform Nature & Role

RaiseIt functions strictly as a technological intermediary and payment facilitator. We do not:

  • Underwrite, verify, or guarantee the feasibility, legality, or commercial viability of any listed campaign;
  • Act as a broker, dealer, investment adviser, or fiduciary to any participant;
  • Assume ownership, equity, or rights to projects, intellectual property, or campaign proceeds;
  • Provide custodial services for funds beyond standard payment processing windows.

All relationships are strictly contractual between Creators and Backers. RaiseIt facilitates transactions but bears no ongoing obligation regarding project execution, delivery, or post-campaign performance.

3. Investment & Backing Risks

Participants must acknowledge the inherent risks associated with crowdfunding:

  • Project Failure Risk: Campaigns may fail to meet milestones, experience delays, be abandoned, or deliver products/services that differ materially from promotional materials.
  • No Guaranteed Returns: Unless explicitly stated in an equity or debt campaign offering, backing is typically donation- or reward-based. There are no expected financial returns, dividends, or resale markets for most rewards.
  • Capital Loss: 100% of contributed funds may be lost if a project fails, goes bankrupt, or is determined to be fraudulent after funding closes.
  • Market & Regulatory Risk: External factors including supply chain disruptions, regulatory changes, or economic shifts may impact project viability regardless of creator intent.
Due Diligence Responsibility

Backers are solely responsible for conducting independent due diligence. RaiseIt performs routine identity verification and payment compliance checks but does not audit financial projections, technical prototypes, or legal compliance of listed projects.

4. Fees, Payments & Payouts

Financial terms governing platform operations include:

  • Platform Fee: A percentage-based fee is applied to successfully funded campaigns, deducted prior to payout. Rates vary by campaign type and region.
  • Payment Processing: Third-party processors (e.g., Stripe, PayPal, bank wire partners) apply their own transaction fees, chargeback reserves, and currency conversion rates. These are non-refundable and not controlled by RaiseIt.
  • Payout Schedule: Funds are typically disbursed within 3–7 business days after campaign closure, subject to payment processor compliance and anti-fraud review.
  • Refund Policy: RaiseIt does not issue refunds for completed campaigns. Disputes must be resolved directly between Creators and Backers. Chargebacks initiated by payment processors may result in account suspension.

5. Intellectual Property & User Content

Creators retain full ownership of all intellectual property submitted to the platform, including videos, descriptions, prototypes, and marketing materials. By posting content, Creators grant RaiseIt a limited, non-exclusive, worldwide license to host, display, and promote the campaign for the duration of platform operations. Backers warrant that they possess rights to any submitted feedback or user-generated content and indemnify RaiseIt against third-party IP claims.

6. User Conduct & Representations

All users represent and warrant that:

  • They are 18 years of age or older (or the age of majority in their jurisdiction);
  • They are not located in, affiliated with, or targeted by sanctions programs administered by OFAC, UN, EU, or other applicable regulatory bodies;
  • They will not use the platform for money laundering, terrorist financing, fraud, or any activity violating the Computer Fraud and Abuse Act or equivalent local laws;
  • Campaign materials are accurate, non-misleading, and comply with advertising standards.

RaiseIt reserves the right to suspend, remove, or report accounts for violations of these terms without prior notice.

7. Limitation of Liability

To the maximum extent permitted by applicable law, RaiseIt, its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or funding opportunities. Our aggregate liability shall not exceed the total fees paid by the claiming party to RaiseIt during the twelve (12) months preceding the claim.

8. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to this disclosure, our Terms of Service, or the platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in San Francisco, California, or mutually agreed upon location. Class action waivers apply; disputes will be heard on an individual basis. Users may opt out of arbitration within 30 days of first platform use by written notice to legal@raiseit.com.

9. Governing Law & Amendments

These terms are governed by the laws of the State of California, without regard to conflict of law principles. RaiseIt reserves the right to modify this disclosure at any time. Material changes will be communicated via platform notification and email. Continued use following updates constitutes acceptance of revised terms.
