Affiliate Program Terms & Conditions

1. Acceptance of Terms

By accessing, registering for, or participating in the ShopVista Affiliate Program (the "Program"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not participate in the Program or use any associated tracking links, materials, or accounts.

ShopVista reserves the right to modify these Terms at any time. Continued participation after changes constitutes acceptance of the updated Terms.

2. Eligibility & Registration

To qualify for the Program, applicants must:

• Be at least 18 years of age or the age of majority in their jurisdiction.
• Own or operate a website, mobile application, social media channel, or digital platform with original content and active audience traffic.
• Provide accurate and verifiable contact, tax, and payment information during registration.
• Not be currently banned, suspended, or restricted from any ShopVista platform or associated merchant network.

Registration is subject to manual review. ShopVista reserves the right to reject or delay any application without explanation.

3. Commission Structure

Commissions are calculated based on the commission rate assigned to the specific product category or promotional campaign at the time of the qualifying purchase. Rates may vary and are displayed within the affiliate dashboard.

ShopVista may adjust commission rates, introduce tiered structures, or launch limited-time bonus campaigns at its sole discretion. Affiliates will receive notification of material changes via the dashboard or registered email.

4. Payment Terms

Commissions are paid on a net-30 basis following the end of each calendar month, provided the minimum payout threshold of $50.00 USD (or equivalent) has been met. Payments are processed via:

• Bank Wire Transfer
• PayPal
• Paidy / Stripe Connect (region-dependent)

ShopVista is not responsible for processing delays caused by incorrect payment details, bank holidays, or third-party payment processor maintenance. Taxes on affiliate earnings are the sole responsibility of the affiliate.

5. Tracking & Attribution

All referrals are tracked using unique affiliate IDs embedded in tracking links, banners, or API integrations provided exclusively through the ShopVista Affiliate Dashboard. Cookies and attribution windows may vary by campaign (standard window: 30 days).

Affiliates must not:

• Modify, mask, or alter tracking links in any way.
• Use expired, invalid, or third-party generated tracking URLs.
• Attempt to manipulate tracking systems through self-referrals, bot traffic, or click fraud.

ShopVista retains the right to audit tracking data and reverse commissions resulting from fraudulent or non-compliant activity.

6. Prohibited Activities

Participation in the Program strictly prohibits the following. Violation may result in immediate termination, forfeiture of unpaid commissions, and legal action:

1. Purchasing products through your own affiliate links (self-referral).
2. Using trademark bidding, keyword buying, or ad copy containing "ShopVista" or registered brand marks without prior written consent.
3. Operating coupon, price-comparison, or aggregator sites that primarily scrape ShopVista content without original editorial value.
4. Using malware, phishing, adware, or any method that compromises user security or platform integrity.
5. Promoting ShopVista on platforms dedicated to adult content, illegal substances, weapons, gambling, or hate speech.
6. Infringing on intellectual property, privacy laws, or advertising regulations in any jurisdiction.

7. Intellectual Property & Brand Usage

All trademarks, logos, product images, promotional creatives, and branding materials owned by ShopVista are provided solely for authorized Program use. Affiliates must:

• Use only approved creative assets from the media library.
• Display required FTC/compliance disclosures (e.g., "#ad", "affiliate link").
• Not claim ownership, endorsement, or partnership status beyond the Program scope.
• Remove all branded materials within 48 hours upon termination or request.

8. Data & Privacy

Affiliates must comply with applicable data protection regulations (GDPR, CCPA, etc.) when collecting or processing customer data. You must not sell, share, or monetize customer information obtained through ShopVista links. All data handling must align with ShopVista's Privacy Policy and industry best practices.

9. Termination & Suspension

ShopVista may suspend or terminate your affiliate account immediately, without notice, for breach of these Terms, fraudulent activity, or policy violations. Termination is permanent in cases of severe misconduct. Upon termination, all tracking links will cease functioning, and unpaid commissions (where legally enforceable) may be subject to audit and forfeiture if linked to violations.

10. Limitation of Liability & Disclaimers

The Program is provided "as is" without warranties of any kind. ShopVista is not liable for indirect, incidental, or consequential damages arising from participation, tracking discrepancies, or payment delays. Affiliate earnings are subject to campaign rules, product availability, and merchant pricing changes.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which ShopVista operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with established commercial arbitration rules, unless prohibited by local consumer protection laws.

12. Modifications to Terms

ShopVista reserves the right to update, amend, or replace these Terms at any time. Material changes will be communicated via the affiliate dashboard and registered email address 14 days prior to effective date. Continued participation after the effective date constitutes acceptance.
