Limitation of Liability

This Limitation of Liability Agreement ("Agreement") governs the terms under which SummitX Adventures ("Company," "we," "us," or "our") provides outdoor adventure, trekking, expedition, and related services ("Services") to participants, clients, and third parties ("Participant" or "You"). By booking, purchasing, or participating in any SummitX Adventures experience, you acknowledge that you have read, understood, and agreed to be bound by the terms outlined below.

1. Assumption of Risk

Outdoor adventure activities inherently involve risks that may result in property damage, personal injury, emotional distress, or death. These risks include, but are not limited to, changing weather conditions, terrain hazards, wildlife encounters, equipment failure, transportation incidents, and the physical demands of strenuous activity. By participating, you voluntarily assume all known and unknown risks associated with the Services.

SummitX Adventures implements industry-standard safety protocols, provides certified guidance, and maintains emergency response procedures. However, we cannot guarantee absolute safety, and you acknowledge that your participation is entirely at your own risk.

2. Scope of Liability Limitation

To the fullest extent permitted by applicable law, SummitX Adventures, its owners, officers, employees, agents, affiliates, and contractors shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages arising from or related to the Services;
• Loss of profits, revenue, data, or business opportunities;
• Delays, cancellations, or modifications of trips due to acts of God, weather, natural disasters, political instability, or logistical constraints;
• Personal injury or property damage resulting from a Participant's failure to follow instructions, misuse of equipment, or violation of safety guidelines;
• Any damages exceeding the total amount paid by the Participant for the specific Service at issue.

You agree to indemnify, defend, and hold harmless SummitX Adventures and its related parties from any claims, liabilities, damages, losses, expenses (including reasonable attorneys' fees), or causes of action arising out of or related to:

• Your participation in any Service;
• Your violation of this Agreement or applicable laws;
• Your misuse of equipment, facilities, or guidance provided;
• Actions or omissions of your traveling companions, dependents, or guests.

5. Equipment & Third-Party Services

While SummitX Adventures strives to provide well-maintained equipment and vetted third-party partners (e.g., accommodations, local transport, meal providers), we do not warrant the merchantability or fitness for a particular purpose of any equipment or third-party service. All third-party arrangements are provided on an "as-is" basis, and our liability for third-party services is strictly limited to the amount paid to SummitX for such specific component.

6. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association, unless otherwise required by mandatory consumer protection laws.

7. Amendments & Severability

SummitX Adventures reserves the right to modify this Agreement at any time. Continued participation constitutes acceptance of revised terms. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
