Section 13: Governing Law & Jurisdiction

13.1 Governing Law

These Terms and Conditions, including any supplementary agreements, statements, and policies referenced herein, shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles or provisions that might otherwise subject these Terms to the laws of a different jurisdiction.

All rights, obligations, and interpretations arising from your engagement with WebCraft Studios shall be determined strictly under California statutory and common law.

13.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the provision of services, or the breach thereof, both parties agree to the following escalation process:

1. Direct Negotiation: Parties shall first attempt to resolve the dispute through good-faith negotiations between authorized representatives within thirty (30) days of written notice.
2. Mediation: If negotiation fails, the dispute shall be submitted to non-binding mediation administered by a mutually agreed-upon neutral third party in San Francisco, California.
3. Binding Arbitration or Litigation: Should mediation prove unsuccessful, either party may initiate binding arbitration under the rules of the American Arbitration Association (AAA), or file a claim in a court of competent jurisdiction as outlined in Section 13.3.

Costs associated with dispute resolution shall be allocated in accordance with the prevailing rules of the chosen mechanism or as ordered by the arbitrator/court.

13.3 Venue & Jurisdiction

You expressly consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for the purpose of resolving any disputes that cannot be settled through alternative dispute resolution. Both parties waive any objections to venue, including claims of inconvenient forum.

WebCraft Studios reserves the right to bring proceedings against you for breach of contract in any other jurisdiction permitted by applicable law, including your place of residence or principal place of business.

13.4 Waiver of Jury Trial

To the fullest extent permitted by law, both parties knowingly, voluntarily, and intentionally waive any right to a trial by jury in connection with any action, suit, or proceeding arising from or relating to these Terms, the use of WebCraft Studios' services, or any transaction conducted through our platforms. This waiver is binding upon all successors, assigns, and legal representatives.

13.5 Severability

If any provision of this Governing Law section or the broader Terms and Conditions is held by a court or arbitral tribunal to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified or reinterpreted to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

13.6 Amendments to Governing Law

WebCraft Studios reserves the right to modify this section or any applicable jurisdictional clause with prior written notice. Continued use of our services following such modifications constitutes acceptance of the updated terms. Material changes will be communicated via email and prominently displayed on our legal pages at least thirty (30) days before the effective date.
