Governing Law

1 Applicability

This Governing Law policy applies to all users, customers, partners, and third parties interacting with Admin's services, platforms, and products (collectively, the "Services"). By accessing or using the Services, you acknowledge that the terms set forth herein govern your relationship with Admin.

Admin is a registered technology company operating under the legal name Admin Technologies, Inc., incorporated in the State of Delaware, United States of America. Our principal place of business is located at 100 Innovation Drive, San Francisco, CA 94105, United States.

2 Jurisdiction

Unless otherwise stated, all matters arising out of or relating to the Services, this policy, or any agreement between you and Admin shall be governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without giving effect to any choice or conflict of law provision or rule.

2.1 Exclusive Venue

Any legal action or proceeding arising under this policy shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue therein.

2.2 International Users

For users located outside the United States, this policy may be subject to additional local laws and regulations. Admin makes reasonable efforts to comply with applicable international data protection and consumer protection laws, including but not limited to the General Data Protection Regulation (GDPR) for users in the European Union.

3 Dispute Resolution

Admin is committed to resolving any disputes that may arise in a fair, efficient, and timely manner. Before pursuing any legal action, we encourage users to follow the dispute resolution process outlined below.

3.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting Admin's legal or customer support team. Admin will make commercially reasonable efforts to resolve the dispute within thirty (30) days of receiving written notice of the dispute.

3.2 Mediation

If informal resolution is unsuccessful, either party may request mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures. The mediation shall take place in San Francisco, California, unless both parties agree otherwise.

• Mediation proceedings shall be confidential and binding only if both parties reach a written agreement.
• The costs of mediation shall be shared equally between the parties, unless otherwise agreed.
• A mediator shall be selected jointly by both parties or appointed by the AAA if no agreement is reached within 14 days.

4 Binding Arbitration

Any dispute not resolved through informal resolution or mediation shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

4.1 Scope of Arbitration

The arbitration clause applies to all disputes and claims arising out of or relating to:

• The use of Admin's Services
• Any contract between you and Admin, including this Governing Law policy
• Any alleged tort, including personal injury, arising from Admin's Services
• Any claim relating to intellectual property, data, or proprietary rights

4.2 Arbitration Rules

• The arbitrator, not any federal, state, or local court or agency, shall have exclusive authority to resolve any disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.
• The arbitration shall be conducted in San Francisco, California, unless both parties agree otherwise.
• The arbitrator shall apply the governing law specified in Section 2 of this policy.
• The arbitrator may award relief on an individual basis and shall have the authority to grant any remedy that would otherwise be available in court.

5 Regulatory Compliance

Admin is committed to compliance with all applicable laws and regulations in the jurisdictions in which it operates. This includes, but is not limited to:

• GDPR — General Data Protection Regulation (European Union)
• CCPA/CPRA — California Consumer Privacy Act / California Privacy Rights Act
• SOC 2 Type II — Service Organization Control compliance
• ISO 27001 — Information Security Management certification

5.2 Industry Standards

Admin maintains compliance with relevant industry standards and frameworks to ensure the security and integrity of user data. Regular audits and assessments are conducted to verify ongoing compliance.

6 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this policy if such failure or delay is caused by events beyond its reasonable control, including but not limited to:

• Natural disasters, including earthquakes, floods, fires, and storms
• Acts of war, terrorism, or civil unrest
• Government actions, embargoes, or changes in law
• Internet or telecommunications failures not caused by Admin
• Pandemics or public health emergencies

Admin shall use commercially reasonable efforts to mitigate the effects of any force majeure event and shall notify affected parties promptly of any anticipated or ongoing disruptions.

7 Severability

If any provision of this Governing Law policy is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such holding shall not affect the validity, legality, or enforceability of any other provision. The remaining provisions shall continue in full force and effect.

In the event that any provision is held to be invalid or unenforceable, the parties agree to negotiate in good faith to replace the invalid or unenforceable provision with a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision.

8 Amendments and Modifications

Admin reserves the right to modify, amend, or update this Governing Law policy at any time. Such modifications shall be effective upon posting on this page. We will provide reasonable notice of material changes through email notification or a prominent notice on our Services.

Your continued use of the Services following the posting of any modifications constitutes your acceptance of those modifications. If you do not agree with the modified terms, you should discontinue your use of the Services.
