1 Overview

This Terms & Termination policy governs the conditions under which CloudNexus may suspend or terminate access to its cloud infrastructure, hosting services, and associated platforms. By utilizing CloudNexus services, you acknowledge and agree to these terms, which complement our Master Service Agreement (MSA) and Acceptable Use Policy (AUP).

Note: Termination actions are taken in strict accordance with applicable laws, regulatory requirements, and contractual obligations. All termination notices will be communicated via the registered contact methods on file.

2 Termination Rights

CloudNexus reserves the right to terminate or restrict access to services under the following circumstances:

  • Material breach of the Acceptable Use Policy or Master Service Agreement
  • Unauthorized access, security compromises, or malicious activity originating from assigned resources
  • Non-payment of invoices after the grace period has expired
  • Provision of fraudulent, inaccurate, or misleading registration information
  • Legal or regulatory mandates requiring service discontinuation
  • Persistent abuse of shared infrastructure impacting other tenants or network stability

Customers retain the right to voluntarily terminate their account at any time through the Client Portal or by submitting a formal termination request to our support team.

3 Service Suspension

In cases where immediate action is required to protect infrastructure integrity or prevent legal liability, CloudNexus may temporarily suspend services without prior notice. Suspension differs from termination and is intended as a remedial measure.

Upon suspension, you will receive a detailed notification outlining the violation or risk factor, steps required for restoration, and an estimated timeline for review. Services will be restored promptly upon resolution of the underlying issue, subject to security clearance.

4 Notice & Transition Period

Except in cases of emergency suspension or immediate legal compliance, CloudNexus will provide a minimum of 30 days written notice prior to permanent termination. This transition period allows you to:

  • Export data and migrate workloads to alternative infrastructure
  • Cancel active subscriptions and avoid unnecessary billing cycles
  • Resolve outstanding support tickets or technical dependencies
  • Submit formal appeals or remediation plans if applicable

Notice will be delivered via email to the primary account holder and all authorized administrative contacts listed in the account profile.

5 Data Export & Retention

Data sovereignty and customer ownership are core principles of CloudNexus. Upon termination, you are responsible for exporting your data before the retention window closes. Our data handling protocol during and after termination includes:

  • Pre-Termination Export: Full access to API, control panels, and storage buckets remains active during the notice period.
  • Post-Termination Retention: Data will be securely retained for 14 days after final termination for emergency recovery purposes.
  • Secure Deletion: After the retention period, all customer data is cryptographically erased using NIST 800-88 compliant sanitization standards.
  • Backup Purging: Scheduled snapshots, incremental backups, and CDN cache entries associated with the account will be permanently removed.

6 Financial Obligations

Account termination does not absolve outstanding financial commitments. You remain responsible for all accrued charges up to the effective termination date, including:

  • Pro-rated usage fees for compute, storage, bandwidth, and managed services
  • Pending invoice balances and late payment penalties (if applicable)
  • Outstanding commitments for reserved instances or annual contracts

Payment processing continues until the account balance reaches zero. Persistent non-payment may result in collection procedures and permanent blacklisting from future CloudNexus services.

7 Post-Termination Access

Once the termination date passes and the data retention window expires, all authentication credentials, API keys, and control panel access will be permanently revoked. CloudNexus will:

  • Disable DNS management and redirect custom domains to termination landing pages
  • Revoke SSH/RDP access and terminate all active instances
  • Remove SSL/TLS certificates and associated cryptographic material
  • Archive account metadata for compliance and audit purposes (excluding customer data)

8 Dispute Resolution

If you believe a termination or suspension action was taken in error or requires review, you may submit a formal dispute through the Client Portal within 10 business days of the notice date. Our Trust & Safety team will conduct an independent review and communicate the final decision within 5 business days. In cases of contractual disagreement, both parties agree to mediate in good faith before pursuing external legal action.

CloudNexus reserves the right to update this policy at any time. Continued use of our services following notice of modifications constitutes acceptance of revised terms.
