1. Acceptance of Terms
By accessing, registering, or using the CloudNexus platform, infrastructure services, APIs, documentation, or related tools (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
CloudNexus reserves the right to modify these terms at any time. Continued use of the Services after such modifications constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
2. Account Registration & Security
To access certain features, you must create an account by providing accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must be at least 18 years old or have legal consent to form a binding contract.
- You agree to immediately notify us of any unauthorized use or security breach.
- CloudNexus reserves the right to suspend or terminate accounts that violate these terms or pose a security risk.
3. Description of Services
CloudNexus provides cloud infrastructure, hosting, managed databases, container orchestration, CDN, object storage, and related developer tools. Service specifications, pricing, and availability are subject to change without prior notice.
We do not guarantee uninterrupted, error-free, or secure access to the Services. Maintenance windows, scheduled upgrades, and emergency patches may result in temporary service interruptions. You acknowledge that cloud infrastructure requires reasonable technical expertise to configure and maintain securely.
4. Service Level Agreement & Uptime
CloudNexus aims to provide 99.99% monthly uptime for core compute and networking services, excluding scheduled maintenance, force majeure events, or customer-caused issues. SLA credits are calculated based on monthly downtime and applied automatically to your account balance.
5. Acceptable Use Policy
You agree not to use the Services for any unlawful, harmful, or abusive purposes. Prohibited activities include, but are not limited to:
- Distributing malware, exploits, or engaging in unauthorized hacking activities
- Hosting illegal content, copyrighted material without permission, or hate speech
- Conducting DDoS attacks, brute force attempts, or cryptocurrency mining without explicit authorization
- Spamming, phishing, or deceptive marketing campaigns
- Violating third-party intellectual property or data protection regulations (GDPR, CCPA, etc.)
CloudNexus reserves the right to investigate, suspend, or terminate accounts suspected of violating this policy, and to report illegal activity to appropriate authorities.
6. Billing, Payments & Refunds
All pricing is in USD unless otherwise stated. Charges are billed monthly or annually based on your subscription plan. Usage-based services (bandwidth, object storage, egress traffic) are calculated on a per-second or per-GB basis and invoiced at the end of the billing cycle.
- Payments are non-refundable except where required by law or explicitly stated in our refund policy.
- Late payments may result in service suspension after a 7-day grace period.
- Tax obligations are the responsibility of the customer. CloudNexus may collect VAT/GST where legally required.
7. Data Privacy & Security
Your data belongs to you. CloudNexus acts as a data processor and will not access, modify, or sell your stored data without explicit authorization or a valid legal subpoena.
We employ industry-standard encryption (AES-256 at rest, TLS 1.3 in transit), role-based access controls, and continuous security monitoring. Customers are responsible for securing their own applications, databases, and access credentials. Our Data Processing Agreement (DPA) and Privacy Policy outline our full compliance commitments.
8. Intellectual Property Rights
CloudNexus, our logo, documentation, APIs, SDKs, and proprietary technologies are protected by copyright, trademark, and patent laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.
You retain all ownership rights to your applications, data, and content hosted on our infrastructure. By submitting feedback, bug reports, or feature requests, you grant CloudNexus a perpetual, royalty-free license to incorporate such ideas into our products.
9. Limitation of Liability
To the maximum extent permitted by law, CloudNexus and its affiliates, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business continuity, or goodwill.
Our total aggregate liability for any claim arising from these terms shall not exceed the total amount paid by you to CloudNexus during the 12 months preceding the claim. This limitation applies regardless of the legal theory asserted.
10. Termination & Suspension
You may terminate your account at any time via the dashboard or by contacting support. Upon termination, all unused prepaid balances will be forfeited, and services will remain active until the end of the current billing cycle.
CloudNexus may immediately suspend or terminate your account for material breach of these terms, unpaid invoices, or security threats. Upon termination, we will provide a 30-day grace period for data export before permanent deletion, subject to applicable data retention laws.
11. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware, unless otherwise required by local consumer protection laws.
12. Modifications to Terms
We may update these Terms to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email or in-app notification at least 30 days before becoming effective. Continued use of the Services after the effective date constitutes acceptance.
