1. Introduction

Welcome to Cup Source. These Terms of Use ("Terms") govern your access to and use of our website, products, and services, including any wholesale purchasing, custom branding, and account features (collectively, the "Services").

By accessing or using our website or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

2. Eligibility & Accounts

2.1 Business Eligibility. Cup Source operates primarily as a wholesale supplier. To create an account or place orders, you represent that you are a registered business entity, sole proprietor, or authorized representative thereof, acting for commercial or resale purposes.

2.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must promptly notify us of any unauthorized use.

2.3 Account Accuracy. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3. Products & Pricing

3.1 Product Descriptions. While we strive for accuracy, product descriptions, images, and specifications are provided for reference only. Actual products may vary slightly in size, color, or texture due to manufacturing tolerances.

3.2 Pricing. All prices are listed in USD unless otherwise stated and are subject to change without notice. Prices are valid at the time of order confirmation. Volume discounts, if applicable, will be applied automatically or as quoted.

4. Orders & Fulfillment

4.1 Order Acceptance. Placement of an order does not guarantee acceptance. Cup Source reserves the right to refuse or cancel any order for any reason, including price errors, inventory shortages, or suspected fraud, without prior notice.

4.2 Confirmation. You will receive an order confirmation email upon successful payment. This email constitutes the acceptance of your offer to purchase and forms a binding contract between you and Cup Source.

4.3 Payment. Payment is required prior to shipment. We accept major credit cards, net-30 terms (for approved accounts), and ACH transfers as applicable.

5. Shipping & Risk

5.1 Delivery Estimates. Shipping timelines are estimates and not guaranteed. Cup Source is not liable for delays caused by carriers, customs, force majeure events, or incomplete shipping information provided by the buyer.

5.2 Risk of Loss. Risk of loss and title for goods pass to the buyer upon delivery to the carrier (FOB Origin) unless otherwise specified in the shipping terms. For local deliveries, risk passes upon receipt at the designated delivery address.

6. Returns & Refunds

6.1 Inspection Period. Upon receipt, you must inspect goods within 48 hours. Any claims for damaged, defective, or short shipments must be reported within this window with photographic evidence.

6.2 Non-Custom Items. Standard stock items may be returned within 14 days of delivery if unused and in original packaging. A restocking fee of 15% may apply.

6.3 Custom Items. Custom-printed or specially manufactured items are final sale and non-refundable unless they arrive damaged or do not match the approved proof.

6.4 Process. Returns require a Return Merchandise Authorization (RMA) number. Unauthorized returns will be rejected.

7. Intellectual Property

All content on this website, including text, graphics, logos, images, software, and product designs, is the property of Cup Source or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

8. Custom Branding & Proofs

8.1 Design Approval. For custom orders, Cup Source will provide digital proofs. It is your responsibility to review and approve the proof. We are not liable for errors in the proof that you fail to identify before approval.

8.2 Setup Fees. Custom orders may incur one-time setup fees for plates, screens, or digital configuration, which are non-refundable.

8.3 Trademark Responsibility. You warrant that any artwork or logos provided do not infringe on third-party intellectual property rights. You indemnify Cup Source against any claims arising from your provided designs.

9. Limitation of Liability

To the maximum extent permitted by law, Cup Source shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of our Services or products. Our total liability shall not exceed the amount paid by you for the specific product giving rise to the claim.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. Both parties agree to submit to the personal jurisdiction of these courts.

11. Changes to Terms

Cup Source reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our Services after changes constitutes acceptance of the new Terms.
