1. Acceptance of Terms
Welcome to CyberVault. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and CyberVault Inc. ("CyberVault", "We", "Us", or "Our"). By registering for an account, purchasing a subscription, or accessing any of our cybersecurity solutions, you expressly agree to comply with and be bound by these Terms.
If you are entering into this agreement on behalf of an organization, you represent and warrant that you have the legal authority to bind such organization to these Terms.
2. Description of Services
CyberVault provides AI-powered cybersecurity monitoring, threat detection, incident response, compliance automation, and related security consulting services (collectively, the "Services"). Our platform utilizes machine learning, heuristic analysis, and threat intelligence feeds to identify, assess, and mitigate digital threats.
Scope of services, service level agreements (SLAs), response times, and feature availability are strictly defined in your signed Subscription Agreement or Statement of Work ("SOW"). CyberVault reserves the right to modify, upgrade, or discontinue services with prior written notice.
3. User Accounts & Security
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to:
- Provide accurate, current, and complete information during registration.
- Immediately notify CyberVault of any unauthorized use or security breach.
- Implement strong authentication measures, including multi-factor authentication (MFA) where available.
- Not share credentials or transfer accounts to third parties without express written consent.
4. Acceptable Use Policy
You may not use CyberVault's services to engage in any unlawful, harmful, or disruptive activities. Prohibited conduct includes, but is not limited to:
- Attempting to reverse-engineer, decompile, or extract source code from our platforms.
- Using our tools to conduct unauthorized penetration testing, scanning, or exploitation of third-party systems.
- Uploading malicious payloads, malware, or exploit kits into our testing or simulation environments.
- Bypassing security controls, rate limits, or authentication mechanisms.
- Misrepresenting your identity or the intended use of the services.
Violations of this section may result in immediate suspension of access, termination of service, and reporting to appropriate legal authorities.
5. Intellectual Property
All software, algorithms, threat intelligence databases, reports, documentation, branding, and proprietary methodologies provided by CyberVault are owned exclusively by CyberVault or its licensors. These materials are protected by copyright, trademark, patent, and trade secret laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. No rights are granted to copy, distribute, modify, create derivative works, or publicly display our intellectual property without prior written authorization.
6. Data & Security
CyberVault processes security telemetry, logs, alerts, and configuration data necessary to deliver and improve our Services. Data handling practices, retention periods, encryption standards, and user rights are detailed in our Privacy Policy.
While we implement industry-leading security controls (encryption in transit/at rest, zero-trust architecture, regular audits), no system is completely immune to breaches. CyberVault's responsibility regarding data loss or unauthorized access is strictly limited to the remedies outlined in Section 7.
7. Limitation of Liability
NO WARRANTY: Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERVAULT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CYBERVAULT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
UNDER NO CIRCUMSTANCES SHALL CYBERVAULT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR SYSTEM FAILURE, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
8. Indemnification
You agree to indemnify, defend, and hold harmless CyberVault, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms or applicable laws/regulations.
- Your misuse of the Services or violation of the Acceptable Use Policy.
- Unauthorized third-party use of your account.
- Claims arising from your integration of third-party software or APIs with our platform.
9. Termination
CyberVault may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, if you breach these Terms or for reasons of security, compliance, or operational necessity. Upon termination, your right to use the Services ceases immediately, and any outstanding fees become due.
Provisions that by their nature should survive termination, including intellectual property, limitation of liability, indemnification, and dispute resolution clauses, shall remain in full force and effect.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by JAMS in San Francisco, California, in accordance with its Streamlined Arbitration Rules.
Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm related to intellectual property or data security breaches.
11. Modifications
CyberVault reserves the right to modify these Terms at any time. Material changes will be communicated via email to your registered address or through a prominent notice on our platform. Continued use of the Services following such modifications constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
