1 Acceptance of Terms

By accessing, browsing, or using the LearnFlow platform (the "Platform"), including any website, mobile application, or related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and LearnFlow, Inc. ("LearnFlow," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Services. Your use of the Services after the effective date of any amendments constitutes your acceptance of the amended Terms.

2 Description of Service

LearnFlow is an online learning platform that provides:

• Course Content: Pre-recorded video lectures, reading materials, assignments, quizzes, and interactive exercises across various subjects and skill levels.
• Live Sessions: Real-time interactive classes, webinars, workshops, and Q&A sessions conducted by instructors.
• Certification Programs: Structured learning paths culminating in verifiable certificates of completion.
• Community Features: Discussion forums, study groups, peer collaboration tools, and social learning features.
• Personalization Tools: AI-powered learning recommendations, progress tracking, adaptive learning paths, and analytics dashboards.
• Mobile Access: iOS and Android applications for on-the-go learning and offline content access.

LearnFlow reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability.

3 User Accounts

To access certain features of the Platform, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials, including your password.
• Accept responsibility for all activities that occur under your account, whether or not authorized by you.
• Immediately notify LearnFlow of any unauthorized use of your account or any other breach of security.

LearnFlow reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity. We may also deactivate accounts that have been inactive for more than 24 consecutive months.

4 Eligibility

By using the Services, you represent and warrant that you meet the following eligibility requirements:

• You are at least 13 years of age (or the minimum age of digital consent in your jurisdiction, if higher).
• If you are under 18 years of age, you have obtained consent from a parent or legal guardian to use the Services.
• You have the legal capacity to enter into a binding agreement.
• You are not barred from receiving the Services under the laws of the United States or other applicable jurisdictions.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

5 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You expressly agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Distribute, reproduce, or share course content, materials, or certifications beyond the scope of your license.
• Attempt to gain unauthorized access to any portion of the Services, other users' accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Services, including introducing malware or engaging in DDoS attacks.
• Use automated means (bots, scrapers, spiders) to access the Services without prior written permission.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Harass, abuse, threaten, or harm other users, instructors, or LearnFlow personnel.
• Remove, alter, or obscure proprietary notices from the Services or any content accessed through the Services.

6 Intellectual Property

All content, materials, features, and functionality provided through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video content, software, course materials, and the compilation thereof, are the exclusive property of LearnFlow, its licensors, or content creators, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.1 License Grant

Subject to your compliance with these Terms, LearnFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Services for your personal, non-commercial educational purposes.
• View, listen to, and interact with course content delivered through the Platform.
• Download and store content for offline access solely for personal use, in accordance with the applicable subscription plan features.

6.2 Restrictions

Except as expressly stated herein, you are not permitted to:

• Copy, modify, create derivative works of, publicly display, publicly perform, reproduce, distribute, transmit, broadcast, sell, license, lease, rent, lend, reverse engineer, or otherwise exploit any content or material from the Services.
• Use LearnFlow's trademarks, logos, or service marks without prior written consent.
• Record, stream, or redistribute live session content without explicit permission.

7 User-Generated Content

The Services may allow you to submit, post, transmit, or otherwise make available content, including but not limited to text, images, videos, comments, reviews, project submissions, and other materials (collectively, "User Content").

7.1 Ownership

You retain all ownership rights to the User Content you submit. However, by posting User Content on the Platform, you grant LearnFlow a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating, providing, and improving the Services.

7.2 Responsibility

You are solely responsible for your User Content and represent and warrant that:

• You own or have the necessary rights, licenses, consents, and permissions to post your User Content.
• Your User Content does not violate the privacy rights, publicity rights, contractual rights, or any other rights of any third party.
• Your User Content does not contain any defamatory, libelous, fraudulent, or misleading statements.

LearnFlow reserves the right, but has no obligation, to monitor, review, edit, or remove User Content at any time for any or no reason, including if LearnFlow determines, in its sole discretion, that the content violates these Terms or may be objectionable, harmful, or offensive.

8 Subscriptions & Payments

Certain features of the Services may require a paid subscription. By subscribing, you agree to the following terms:

8.1 Pricing

Prices are subject to change with 30 days' notice. Prices do not include applicable taxes.

8.2 Billing

• You authorize LearnFlow to charge your designated payment method for subscription fees, including any applicable taxes.
• Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds are processed according to our Refund Policy. Generally, refunds are available within 14 days of purchase for qualifying purchases.

8.3 Free Trials

LearnFlow may offer free trial periods for paid plans. Trials require a valid payment method and will automatically convert to a paid subscription at the end of the trial period unless cancelled. No charges will be applied during the trial period.

9 Privacy & Data

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in our Privacy Policy.

In summary, we collect information to:

• Provide, maintain, and improve our Services.
• Personalize your learning experience with AI-powered recommendations.
• Communicate with you about updates, offers, and support.
• Process transactions and prevent fraud.
• Comply with legal obligations.

10 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LearnFlow does not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• Any defects or errors will be corrected.
• The Services are free of viruses or other harmful components.
• Course content will remain current, accurate, or complete.
• Completion of courses will result in specific career outcomes, job placement, or income levels.

LearnFlow's instructors are third-party contributors, and the views expressed by them are their own and do not necessarily reflect the views of LearnFlow. LearnFlow does not endorse any products, services, or opinions presented within course content.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEARNFLOW, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OFFICERS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

LEARNFLOW'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LEARNFLOW DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE ON A FREE PLAN, AGGREGATE LIABILITY SHALL NOT EXCEED $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above limitations may not apply to you. In such jurisdictions, LearnFlow's liability shall be limited to the maximum extent permitted by law.

12 Termination

12.1 By You

You may terminate your account and cease using the Services at any time by following the instructions in your account settings or by contacting our support team.

12.2 By LearnFlow

LearnFlow may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for:

• Material breach of these Terms.
• Fraudulent or illegal activity.
• Failure to pay applicable fees.
• Extended account inactivity (24+ months).
• At LearnFlow's sole discretion.

12.3 Effect of Termination

Upon termination:

• Your right to access the Services will immediately cease.
• LearnFlow may delete your account data within 30 days, subject to applicable data retention laws.
• Sections that by their nature should survive termination shall survive, including all provisions relating to intellectual property, disclaimers, limitations of liability, governing law, and dispute resolution.

13 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

13.1 Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES.仲裁 shall take place in San Francisco, California.

13.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDINGS SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLASS ARBITRATIONS AND CLASS ACTIONS ARE WAIVED.

13.3 Small Claims Court

Notwithstanding the foregoing, you may bring an individual action in small claims court if your claims qualify. Additionally, either party may seek injunctive relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14 Modifications to Terms

LearnFlow reserves the right to modify, amend, or replace these Terms at any time. We will provide notice of material changes by:

• Posting a prominent notice on the Platform at least 30 days before the changes take effect.
• Sending an email notification to the email address associated with your account.
• Updating the "Last Updated" date at the top of these Terms.

Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue your use of the Services prior to the effective date.
