Force Majeure Clause & Policy
1. Purpose & Scope
MetalCore Manufacturing ("Company") recognizes that unforeseeable, external events beyond reasonable control can disrupt manufacturing operations, supply chains, and delivery schedules. This policy defines the conditions under which Force Majeure applies to contractual obligations, outlines notification procedures, and establishes mutual responsibilities for mitigation and resolution.
2. Definition of Force Majeure
Force Majeure refers to events that are:
- Unforeseeable: Not reasonably anticipated at the time of contract execution.
- Unavoidable: Cannot be prevented despite commercially reasonable efforts.
- External: Occur outside the direct control of the affected party.
- Preventive: Directly impair the ability to perform contractual obligations.
3. Covered Events
The following categories may qualify as Force Majeure events, subject to verification and case-by-case assessment:
- Natural Disasters: Earthquakes, hurricanes, floods, wildfires, or pandemics declared by recognized health authorities.
- Government & Regulatory Actions: Export controls, trade embargoes, mandatory shutdowns, or changes in safety/environmental regulations.
- Infrastructure & Utility Failures: Prolonged grid outages, water shortages, or critical logistics network failures.
- Supply Chain Disruptions: Severe shortages of raw materials (e.g., aluminum, titanium, specialized polymers) due to upstream disruptions not attributable to either party.
- Industrial Actions: Widespread strikes, lockouts, or labor stoppages at critical supplier or logistics facilities.
- Conflict & Civil Unrest: War, terrorism, sabotage, or civil disturbances affecting manufacturing or shipping routes.
4. Notification & Documentation
In the event of a potential Force Majeure circumstance, the affected party must:
- Provide written notice to the primary contract holder within five (5) business days of becoming aware of the event.
- Specify the nature of the event, estimated duration, and projected impact on production or delivery timelines.
- Supply supporting documentation (e.g., government orders, carrier reports, utility notices, or third-party assessments) upon request.
- Submit periodic status updates at least every 14 days until normal operations resume.

5. Mitigation & Operational Continuity
MetalCore Manufacturing commits to:
- Implementing pre-established Business Continuity Plans (BCP) and disaster recovery protocols.
- Utilizing redundant production lines, alternative material sourcing, and cross-regional logistics where feasible.
- Prioritizing critical-path components and communicating revised lead times transparently.
Both parties acknowledge that Force Majeure does not excuse payment obligations for work already performed or materials already procured and invoiced prior to the event.
6. Impact on Orders & Delivery Schedules
- Production and delivery timelines shall be extended proportionally to the duration of the Force Majeure event.
- No party shall be held liable for liquidated damages, penalties, or breach of contract arising solely from delayed performance due to verified Force Majeure.
- If the disruption exceeds sixty (60) consecutive days, either party may terminate affected orders without penalty, subject to final settlement of completed work and non-cancelable material costs.
7. Exclusions
Force Majeure does not apply to delays or failures caused by:
- Internal operational inefficiencies, equipment maintenance failures, or understaffing.
- Financial insolvency, bankruptcy, or cash flow constraints.
- Pre-existing contractual disputes or non-payment.
- Foreseeable seasonal demand fluctuations or standard market volatility.
8. Contractual Integration & Governing Law
This policy complements, but does not replace, the Force Majeure clause contained in executed agreements between MetalCore Manufacturing and its clients. In the event of inconsistency, the signed contract governs. All matters shall be construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
