1. Introduction & Scope
Welcome to MetalCore Manufacturing ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our manufacturing, engineering, and related services, as well as any associated digital platforms, quotation systems, and procurement portals.
By submitting a purchase order ("PO"), requesting a quote, or utilizing any of our services, you ("Client", "you", or "your") agree to be bound by these Terms, our Pricing Schedule, and any specific statements of work or service agreements executed between the parties.
2. Acceptance of Terms
Your purchase order, quotation acceptance, or commencement of services constitutes your unconditional acceptance of these Terms. In the event of a conflict between your PO terms and these Terms, our Terms shall control. We reserve the right to reject or modify any order that contains non-compliant terms.
3. Products & Services
MetalCore Manufacturing provides precision CNC machining, sheet metal fabrication, injection molding, die casting, quality inspection, and assembly services. All services are subject to:
- Availability of machinery, raw materials, and certified labor.
- Compliance with applicable industry standards (ISO 9001:2015, AS9100D, where applicable).
- Client-provided specifications, drawings, and material approvals.
We reserve the right to modify manufacturing processes or material sources without notice, provided that such modifications do not adversely affect form, fit, or function and are disclosed in writing.
4. Orders & Payment Terms
4.1 Pricing: All prices are quoted in US Dollars (USD) unless otherwise stated. Prices are valid for 30 days from the date of quotation and may be adjusted due to fluctuations in raw material costs, freight, or tooling expenses.
4.2 Order Acceptance: No order is binding until confirmed in writing by MetalCore Manufacturing. Our acceptance does not constitute acceptance of any Client terms differing from these Terms.
4.3 Payment: Standard payment terms are Net 30 from the date of invoice, unless a different arrangement is approved in writing. A 50% non-refundable deposit may be required for custom tooling, prototyping, or high-volume orders. Late payments shall accrue interest at 1.5% per month or the maximum rate permitted by law.
4.4 Taxes & Duties: Client is responsible for all applicable sales, use, VAT, or import duties unless explicitly included in the quoted price.
5. Quality & Inspection
All manufactured goods will conform to the specifications, tolerances, and material certifications outlined in the approved drawings or statements of work. MetalCore Manufacturing maintains an ISO 9001:2015 certified quality management system.
Clients are encouraged to inspect and test all delivered goods promptly upon receipt. Claims for non-conforming parts must be submitted in writing within 15 business days of delivery. Failure to notify us within this period constitutes acceptance of the goods.
6. Shipping & Risk of Loss
Unless otherwise agreed in writing, all shipments are FOB Origin (Detroit, MI). Title and risk of loss pass to the Client upon delivery of the goods to the carrier. MetalCore Manufacturing will obtain reasonable commercial insurance for transit but assumes no liability for damage occurring after goods leave our facility.
Shipping schedules are estimates only. We are not liable for delays caused by force majeure events, carrier disruptions, material shortages, or client-requested design changes.
7. Warranties
MetalCore Manufacturing warrants that all goods and services will:
- Conform to the specifications provided in the approved drawings or written agreement.
- Be free from defects in workmanship and materials under normal use and service.
- Be manufactured in compliance with applicable environmental and safety regulations.
8. Limitation of Liability
To the maximum extent permitted by law, MetalCore Manufacturing's aggregate liability under these Terms shall not exceed the total amount paid by the Client for the specific goods or services giving rise to the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, production downtime, or third-party claims.
9. Intellectual Property
Client retains ownership of all designs, specifications, and proprietary data provided to MetalCore Manufacturing. MetalCore Manufacturing retains all rights to its manufacturing processes, tooling designs, proprietary software, and trade secrets. Upon full payment, Client may acquire title to custom tooling, subject to a separate tooling agreement.
10. Confidentiality
Both parties agree to protect each other's confidential information, including technical data, pricing, and business strategies. MetalCore Manufacturing will not disclose Client specifications to third parties without written consent, except as required to fulfill manufacturing obligations or by law. Confidentiality obligations survive termination for a period of five (5) years.
11. Termination
Either party may terminate an ongoing project with 30 days' written notice. In the event of termination, Client shall pay for all work completed, materials procured, and non-cancellable tooling costs incurred up to the termination date. MetalCore Manufacturing reserves the right to immediately suspend or terminate services for material breach, non-payment, or insolvency.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the federal or state courts located in Wayne County, Michigan. Both parties consent to personal jurisdiction and venue therein.
13. Modifications
MetalCore Manufacturing reserves the right to modify these Terms at any time. Changes will be effective upon posting to our official website or delivery of written notice. Continued use of our services or submission of orders after modifications constitutes acceptance of the revised Terms.
