1. Acceptance of Terms

By accessing, registering for, or using the NexusAI platform, APIs, machine learning models, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

NexusAI reserves the right to modify these Terms at any time. Continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. NexusAI Services

NexusAI provides artificial intelligence infrastructure, including but not limited to:

Access to proprietary and third-party machine learning models
Automated inference pipelines and real-time processing
Natural language processing, computer vision, and predictive analytics APIs
Developer tools, dashboards, and integration frameworks

Service availability, features, and performance metrics are subject to change as we continuously improve our AI systems. NexusAI does not guarantee uninterrupted or error-free service, as AI outputs are inherently probabilistic.

3. User Accounts & Security

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify NexusAI immediately of any unauthorized use or security breach.

NexusAI employs industry-standard encryption, access controls, and monitoring, but you acknowledge that no system is completely secure. Multi-factor authentication is strongly recommended for all accounts.

4. Acceptable Use & AI Ethics

You agree not to use the NexusAI Services to:

Generate, train, or deploy models for illegal, harmful, or discriminatory purposes
Manipulate democratic processes, create non-consensual intimate media, or bypass security controls
Impersonate individuals or entities without explicit authorization
Exploit model vulnerabilities or attempt to reverse-engineer proprietary architectures

AI Output Disclaimer: NexusAI models generate probabilistic outputs based on patterns in training data. You are solely responsible for validating, auditing, and ensuring the safety and accuracy of AI-generated content before deployment in production or high-stakes environments.

5. Data, Privacy & AI Processing

Your input data, prompts, and uploaded files ("Customer Data") remain your property. NexusAI processes Customer Data solely to deliver the requested AI inference or training services. We do not claim ownership over your inputs or outputs.

By default, Customer Data is not used to retrain foundational NexusAI models unless you explicitly opt into our data enhancement programs. You may adjust data retention and processing preferences in your account settings. For comprehensive details, see our Privacy Policy.

6. Intellectual Property

The NexusAI platform, including its code, architecture, models, branding, and documentation, is owned by NexusAI and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Services for your lawful business purposes.

You retain all rights to your Customer Data and any outputs generated exclusively from your inputs. However, outputs may be influenced by publicly available training data and third-party models licensed to NexusAI.

7. Limitation of Liability

To the maximum extent permitted by law, NexusAI and its affiliates, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.

AI systems may produce unexpected outputs, hallucinations, or inaccuracies. NexusAI does not warrant that model outputs will be factually correct, unbiased, or suitable for every use case. You acknowledge that AI-assisted decisions should be supplemented with human oversight where appropriate.

8. Termination

You may terminate your account at any time through your dashboard or by contacting support. NexusAI may suspend or terminate access if you breach these Terms, fail to maintain payment for paid plans, or engage in abusive behavior. Upon termination, your access to paid features will cease, and Customer Data will be handled according to our retention policy or your explicit instructions.

9. Changes to Terms

We may update these Terms to reflect product changes, legal requirements, or operational improvements. Material changes will be communicated via email or platform notification at least 30 days before becoming effective. Your continued use after the effective date constitutes acceptance.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding individual arbitration in Wilmington, Delaware, except where local law mandates court jurisdiction.
