Governing Law & Jurisdiction
This section outlines the legal framework, jurisdiction, and dispute resolution procedures applicable to all services provided by SparkleClean Pro.
1. Governing Law
All agreements, transactions, and services provided by SparkleClean Pro (hereinafter referred to as the "Company") shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law principles. This includes, but is not limited to, service agreements, booking confirmations, payment terms, and any modifications or addenda thereto.
2. Jurisdiction & Venue
The parties hereby agree to submit to the personal jurisdiction of the state and federal courts located in South Carolina. Any legal action, proceeding, or claim arising out of or relating to the Company’s services, terms of service, or this governing law clause shall be exclusively litigated in such courts. The Company and the customer waive any objection to venue in these courts.
3. Dispute Resolution & Arbitration
Except for claims that cannot be resolved under applicable law through binding arbitration, any dispute, claim, or controversy arising out of or relating to the Company’s services or agreements shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in South Carolina, in the county where the service was performed or where the customer resides, at the Company’s discretion.
- Arbitration shall be conducted by a single arbitrator.
- The arbitrator’s award shall be final and binding, and judgment may be entered in any court having jurisdiction.
- The Company agrees to reimburse the customer’s filing fees if the customer prevails in arbitration.
4. Class Action & Jury Trial Waiver
By utilizing SparkleClean Pro’s services, you expressly waive your right to participate in a class action lawsuit, consolidated lawsuit, or private attorney general action. You further waive any right to a trial by jury. All claims must be brought in your individual capacity only.
5. Severability
If any provision of this Governing Law clause or the associated Terms of Service is held to be invalid, illegal, or unenforceable, such provision shall be modified to the extent necessary to make it enforceable while preserving its original intent. The remaining provisions shall continue in full force and effect.
6. Amendments & Updates
SparkleClean Pro reserves the right to update, modify, or amend this Governing Law provision at any time. Material changes will be communicated via email to active clients and posted on our website. Continued use of our services following such updates constitutes acceptance of the revised terms.
