1. Acceptance of Terms

By accessing, browsing, or using our website, mobile applications, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all provisions of these Terms, you must immediately cease using the Platform.

WealthGuard is operated by WealthGuard Financial Technologies, Inc., a Delaware corporation. These Terms constitute a legally binding agreement between you and WealthGuard regarding your use of our services.

WealthGuard provides personal finance management tools, including but not limited to:

• Secure data aggregation and financial dashboard visualization

3. User Accounts & Registration

To access certain features, you must create an account. You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding agreements. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to maintain accuracy. WealthGuard reserves the right to suspend or terminate accounts that contain false or misleading information.

4. Financial Disclaimers & Risk Disclosure

All financial data, projections, and analytics provided on the Platform are for informational and educational purposes only. Past performance of any investment, asset class, or financial product is not indicative of future results.

WealthGuard does not guarantee the accuracy, completeness, or timeliness of third-party financial data, market prices, or economic indicators. You should not make financial decisions solely based on information presented on our Platform. We strongly recommend consulting with a licensed financial advisor, CPA, or tax professional before making significant financial decisions.

5. User Conduct & Responsibilities

When using the Platform, you agree not to:

• Violate any applicable local, state, federal, or international laws or regulations
• Use automated tools, scrapers, bots, or data mining software to access or extract content
• Attempt to gain unauthorized access to other users' accounts, systems, or data
• Transmit malicious code, viruses, or disruptive content
• Resell, redistribute, or exploit Platform features for commercial purposes without explicit written consent

WealthGuard reserves the right to terminate access immediately for any violation of these terms, without prior notice or liability.

6. Intellectual Property Rights

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are the proprietary property of WealthGuard Financial Technologies, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms.

7. Limitation of Liability

The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, WealthGuard, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless WealthGuard and its subsidiaries, affiliates, officers, agents, and employees from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your violation of any rights of any third party; or (iv) your breach of any warranty or representation.

9. Privacy & Data Handling

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to the practices described therein. We employ industry-standard security measures, including 256-bit encryption and SOC 2 compliance, to protect your financial data.

10. Modifications to Terms

WealthGuard reserves the right, at our sole discretion, to modify, replace, or update these Terms at any time. We will provide notice of significant changes via email, Platform notification, or by updating the "Last Updated" date above. Your continued use of the Platform following the posting of revised Terms constitutes acceptance of those changes.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware. Class action waivers apply, except where prohibited by law.
