1 Acceptance of Terms
By accessing, browsing, or using the JobSphere platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, our Privacy Policy, and any additional terms, guidelines, or policies referenced herein or posted on our platform.
These Terms apply to all users of the Services, including but not limited to job seekers, employers, recruiting agencies, and visitors. Certain features and services may require additional agreements or terms, which will be presented to you at the time of use.
Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to create an account on JobSphere. If you are between 13 and 17, you may use the Services only with the involvement and consent of a parent or guardian.
2 Definitions
For the purposes of these Terms, the following definitions shall apply:
- "Platform" refers to the JobSphere website, mobile applications, APIs, and any related software or interfaces.
- "User" refers to any individual or entity that accesses or uses the Services.
- "Job Seeker" refers to a User who creates a profile to search and apply for job listings.
- "Employer" refers to a User who posts job listings and reviews applications.
- "Content" refers to any text, images, data, resumes, job descriptions, or other materials posted or transmitted through the Services.
- "Subscription" refers to any paid plan or service tier purchased by an Employer to access premium features.
3 Account Registration
To access certain features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate accounts that we believe were registered under false pretenses, are inactive, or have been compromised. We may also require verification of your identity at any time.
4 User Conduct
As a User of JobSphere, you agree to conduct yourself in a manner that is lawful, ethical, and respectful. Specifically, you agree to:
- Use the Services only for their intended purposes and in compliance with all applicable laws and regulations.
- Not misuse the Services in any way that could damage, disable, or impair the platform.
- Not engage in any activity that infringes upon the rights of others or violates any applicable law.
- Not attempt to gain unauthorized access to any portion of the Services or any other systems or networks.
- Not use automated means (bots, scrapers, spiders, etc.) to access the Services without prior written consent.
5 Job Postings
Employers who post job listings on JobSphere agree to the following:
- All job postings must be accurate, truthful, and not misleading in any way.
- Job postings must comply with all applicable anti-discrimination and employment laws.
- Employers are solely responsible for the content of their job postings and for all aspects of their hiring process.
- JobSphere does not endorse, guarantee, or assume any responsibility for any job posting, employer, or employment opportunity.
- We reserve the right to review, modify, or remove any job posting at our sole discretion, with or without notice.
Employer Verification: JobSphere may require Employers to verify their identity and business legitimacy before posting jobs. We reserve the right to request additional documentation at any time.
6 Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of JobSphere, Inc. and its licensors. The Services are protected by copyright, trademark, and other laws.

You retain ownership of any Content you submit, post, or display on or through the Services. However, by posting Content on the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of operating, providing, and improving the Services.
7 Privacy
Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, describes how we collect, use, and share information about you when you use our Services. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.
We are committed to protecting your personal data in compliance with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
8 Prohibited Activities
You may not use the Services for any of the following prohibited activities:
- Posting fraudulent, misleading, or false job listings or applications.
- Harvesting, collecting, or compiling user information without consent.
- Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.
- Interfering with or disrupting the integrity or performance of the Services.
- Using the Services to transmit any viruses, malware, or other harmful code.
- Engaging in any activity that could disable, overburden, or impair the Services.
- Circumventing any measures designed to prevent or restrict access to the Services.
- Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
9 Payment & Billing
Certain features of the Services may require payment. If you purchase a paid Subscription or service, you agree to:
- Provide valid and current payment information.
- Pay all fees associated with your Subscription or purchased services.
- Authorize us to charge your payment method on a recurring basis for auto-renewing Subscriptions.
Billing Terms:
- All fees are non-refundable unless otherwise stated in writing.
- We reserve the right to change our pricing at any time with 30 days' notice.
- Taxes may apply to your purchases as required by applicable law.
- Disputed charges must be reported within 30 days of billing.
10 Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use the Services will immediately cease.
- We may delete your account and associated data within 30 days.
- Sections that by their nature should survive termination will remain in effect, including but not limited to ownership provisions, disclaimers, and limitations of liability.
You may terminate your account at any time by following the instructions provided within your account settings or by contacting our support team.
11 Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOBSHERE, INC. AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties arising out of course of dealing or trade usage.
- Any warranty that the Services will be uninterrupted, secure, or error-free.
- Any warranty regarding the accuracy, completeness, or reliability of job postings or user Content.
- Any warranty that the Services will meet your expectations or requirements.
JobSphere does not endorse or guarantee any job posting, employer, or employment opportunity listed on the platform. We do not act as an employer, employment agency, or recruiting firm.
12 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOBSHERE, INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, data, use, goodwill, or other intangible losses.
- Any damages arising from your use of or inability to use the Services.
- Any employment-related disputes between Users and Employers.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Services.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
13 Indemnification
You agree to defend, indemnify, and hold harmless JobSphere, Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of the Services in violation of these Terms.
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
- Your violation of any applicable law, rule, or regulation.
- Any job posting or Content submitted by you that is found to be unlawful, fraudulent, or harmful.
14 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware.
You and JobSphere hereby consent to the personal jurisdiction and venue of such courts for the purpose of litigating any such disputes.
15 Dispute Resolution
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
Class Action Waiver: You agree that any arbitration or litigation shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
Small Claims Court: Notwithstanding the foregoing, either party may bring an individual action in small claims court if your claim qualifies.
16 Changes to Terms
We reserve the right to modify, amend, or update these Terms at any time. When we make material changes to these Terms, we will notify you by:
- Posting a prominent notice on our platform at least 30 days prior to the effective date.
- Sending an email to the address associated with your account (if applicable).
- Updating the "Last Updated" date at the top of this page.
Your continued use of the Services after the effective date of any modified Terms constitutes your acceptance of such changes. If you do not agree with the modified Terms, you must discontinue use of the Services.
