9. Governing Law

9 Governing Law

The following terms and conditions, including any future amendments or modifications, shall be governed by and construed in accordance with the laws of the jurisdiction in which LuxeMart operates, without regard to its conflict of law principles. This agreement reflects the mutual intent of the parties and shall be interpreted accordingly.

9.1 Jurisdiction

LuxeMart and any legal proceedings arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts located within the designated jurisdiction. The courts of this jurisdiction shall have the sole authority to interpret and enforce these terms.

9.2 Venue

All actions and proceedings arising under or related to these terms shall be brought exclusively in the federal or state courts located in the jurisdiction specified above. LuxeMart and you both waive any objection to venue or jurisdiction in such courts.

9.3 Waiver of Jury Trial

To the fullest extent permitted by applicable law, you and LuxeMart hereby waive any right to a jury trial in any action, suit, or proceeding arising out of or related to these terms or your use of LuxeMart services. You acknowledge that:

• This waiver is a knowing and voluntary waiver;
• These terms are a written contract; and
• You and LuxeMart have each been represented by counsel or had the opportunity to consult counsel.

10 Dispute Resolution

In the event of a dispute, controversy, or claim arising out of or relating to these terms, including the breach, termination, or invalidity thereof, the parties agree to engage in good faith negotiations before pursuing any legal remedies.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate legal proceedings in accordance with Section 9. LuxeMart reserves the right to seek equitable relief, including injunctions, where appropriate.

11 Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these terms. The remaining provisions shall continue in full force and effect and shall not be affected by the severance. The parties agree that if such provision were valid, legal, and enforceable, the court would hold it to be so.

12 Entire Agreement

These terms, together with any privacy policy and terms of service referenced herein, constitute the entire agreement between you and LuxeMart regarding the subject matter hereof. They supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

No amendment or modification of these terms shall be valid unless made in writing and signed by an authorized representative of LuxeMart. Any failure by LuxeMart to enforce any provision of these terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
