By accessing, browsing, or using the Professional Portfolio website, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services. These terms constitute a legally binding agreement between you and Professional Portfolio.

2. Description of Services

Professional Portfolio provides web design, development, UI/UX consulting, branding, and related digital services. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

All service descriptions, timelines, and deliverables are subject to mutual agreement and will be formalized in a separate Statement of Work (SOW) or client contract.

3. User Accounts & Security

Where required, you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these terms or engage in suspicious activity.

4. Intellectual Property Rights

All content, design assets, code, logos, trademarks, and materials provided through Professional Portfolio are protected by intellectual property laws. Unless explicitly stated in a written agreement:

• You are granted a limited, non-exclusive license to use deliverables for personal or internal business purposes.
• Full ownership and copyright transfer occurs only upon complete payment as specified in your contract.
• You may not resell, redistribute, or claim ownership of pre-existing templates, frameworks, or stock assets.

5. User Conduct & Responsibilities

By using our Services, you agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Reverse engineer, decompile, or attempt to extract source code from our proprietary platforms.
• Impersonate Professional Portfolio or misrepresent your affiliation with us.
• Provide inaccurate or misleading information during project intake or billing processes.

6. Payment & Refund Policy

Payment terms are outlined in individual project agreements. Invoices are due within 14 days of receipt unless otherwise specified. Late payments may incur a 1.5% monthly service charge.

Cancellations must be submitted in writing. Refunds are evaluated on a case-by-case basis and are subject to work already completed, third-party costs, and non-refundable expenses.

7. Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described therein.

8. Limitation of Liability

To the maximum extent permitted by law, Professional Portfolio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Termination

We reserve the right to terminate or suspend access to our Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services ceases immediately.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

Professional Portfolio may revise these Terms at any time. We will notify users of material changes via email or prominent notice on our website. Your continued use constitutes acceptance of updated Terms.
