1. Acceptance of Terms
Welcome to CyberVault ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our cybersecurity platform, monitoring services, and related offerings (collectively, the "Services").
By accessing, registering for, or using any CyberVault Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the Services constitutes acceptance of the modified Terms. We recommend reviewing this page periodically.
2. Description of Services
CyberVault provides enterprise-grade cybersecurity solutions, which may include but are not limited to:
- AI-Powered Threat Detection: Real-time monitoring and analysis of network traffic, endpoints, and cloud environments using machine learning algorithms to identify potential security threats.
- Security Operations Center (SOC): 24/7/365 human-assisted monitoring, triage, and incident response support.
- Penetration Testing: Authorized simulated cyberattacks to evaluate the security posture of your systems.
- Cloud Security Posture Management: Configuration analysis and compliance monitoring for AWS, Azure, and Google Cloud Platform environments.
- Incident Response: Rapid containment, eradication, and recovery assistance in the event of a confirmed security breach.
Specific features, scope, and deliverables are detailed in your individual Service Agreement or Statement of Work ("SOW"). In the event of a conflict between these Terms and your SOW, the SOW shall prevail for the specific scope of that engagement.
4. User Obligations
As a Customer, you agree to:
- Accurate Information: Provide accurate, current, and complete registration and billing information.
- Account Security: Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized access.
- Compliance: Ensure your use of the Services complies with all applicable laws, regulations, and industry standards.
- Cooperation: Cooperate with our security analysts during incident investigations, including providing necessary access and information.
- Prohibited Modifications: Not attempt to reverse engineer, decompile, or extract source code from any CyberVault software or APIs.
5. Prohibited Conduct
You may not use the Services to:
- Conduct unauthorized penetration testing or scanning of third-party systems without explicit written permission.
- Hide, obfuscate, or disguise malicious activity using CyberVault infrastructure or services.
- Distribute malware, ransomware, or other harmful code.
- Perform attacks against CyberVault systems or attempt to disrupt our Services.
- Use the Services for any illegal purpose, including money laundering, fraud, or exploitation of minors.
- Resell or sublicense CyberVault Services without a specific partner agreement.
Violation of these provisions may result in immediate termination of your account and referral to law enforcement.
6. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, reports, dashboards, and documentation, are owned by CyberVault or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes only.
Customer Data: You retain all rights to your data. CyberVault processes your data solely to provide the Services. We may anonymize and aggregate data for threat intelligence purposes, but such data will not contain personally identifiable information or customer-identifying details.
7. Data & Privacy
Your privacy is paramount. Our processing of personal data is governed by our Privacy Policy. By using the Services, you consent to the collection and processing of data as described therein.
Data Residency: Customers may select specific geographic regions for data storage where available. CyberVault ensures data remains within the selected region and is not transferred outside without explicit consent or legal requirement.
Encryption: All data in transit is encrypted using TLS 1.3 or higher. Data at rest is encrypted using AES-256 encryption with customer-managed or CyberVault-managed keys depending on your plan.
8. Limitation of Liability
To the maximum extent permitted by law:
- No Consequential Damages: CyberVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of the Services.
- Liability Cap: Our total aggregate liability shall not exceed the fees paid by you to CyberVault during the twelve (12) months preceding the claim.
- Security Incidents: In no event shall CyberVault be liable for damages resulting from security breaches caused by customer negligence, third-party vulnerabilities outside our control, or novel attack vectors not reasonably detectable with current technology.
9. Termination
Either party may terminate the Services with thirty (30) days written notice. CyberVault reserves the right to immediately suspend or terminate access if:
- You breach any provision of these Terms.
- We suspect fraudulent or illegal activity.
- Payment is delinquent for more than fifteen (15) days.
- Required by applicable law or regulatory order.
Upon termination, you will have a thirty (30) day grace period to export your data. After this period, all data will be securely deleted from our systems in accordance with our data retention policy.
10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Arbitration: Any dispute arising out of these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware. You waive the right to participate in class-action lawsuits or class-wide arbitration.
Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
