Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of products, services, and manufacturing operations provided by MetalCore Manufacturing ("Company," "we," "us," or "our"). By submitting purchase orders, requesting quotes, or engaging with our manufacturing facilities, you ("Client," "you," or "your") agree to be bound by these Terms.

Please read these Terms carefully. They contain important information about your rights, obligations, and limitations of liability when working with MetalCore Manufacturing.

2. Acceptance of Terms

Accessing our manufacturing services, submitting engineering drawings/specifications, or executing a purchase order constitutes full acceptance of these Terms. Any terms in your purchase order that conflict with these Terms are expressly rejected unless explicitly agreed to in writing by an authorized MetalCore representative.

3. Scope of Services

MetalCore Manufacturing provides precision engineering and manufacturing services, including but not limited to:

  • CNC Machining (3-Axis, 4-Axis, 5-Axis)
  • Sheet Metal Fabrication & Welding
  • Injection Molding & Tooling
  • Die Casting & Precision Forming
  • Prototyping & Rapid Manufacturing
  • Quality Assurance, Inspection & Assembly

Services are performed according to Client-supplied engineering drawings, CAD files, specifications, and approved work instructions. Tolerances, surface finishes, and material certifications shall be strictly per agreed documentation unless otherwise specified in writing.

4. Ordering & Payment

4.1 Quotes & Validity: Quotations are valid for 30 days from issuance unless otherwise stated. Final pricing is subject to material market fluctuations and engineering verification.

4.2 Purchase Orders: Orders are not binding until confirmed in writing by MetalCore. Confirmation includes agreed specifications, lead times, and payment terms.

4.3 Payment Terms: Standard terms are Net 30 from invoice date unless otherwise agreed. Late payments accrue interest at 1.5% per month or the maximum legal rate, whichever is lower. Production may be suspended for accounts exceeding 60 days past due.

4.4 Cancellations & Changes: Requests to modify or cancel orders after production initiation may incur rework, scrap, and expediting fees. All changes require written approval and may adjust lead times.

5. Quality & Inspection

MetalCore Manufacturing operates under ISO 9001:2015 quality management systems. All production parts undergo first-article inspection (FAI), in-process quality checks, and final audit sampling according to AQL standards (ANSI/ASQ Z1.4 or equivalent). Material certifications and heat/lot traceability are provided upon request.

Clients may inspect goods prior to shipment or upon receipt. Non-conforming parts must be reported in writing within 15 business days of delivery. Accepted remedies include repair, replacement, or credit at MetalCore's sole discretion.

6. Intellectual Property

6.1 Client IP: You retain all rights to your designs, CAD files, specifications, and proprietary data provided to MetalCore. We will not use, copy, or disclose your IP except as necessary to fulfill your orders.

6.2 MetalCore IP: Manufacturing processes, tooling designs, process optimizations, and proprietary techniques developed during production remain the exclusive property of MetalCore Manufacturing.

6.3 Confidentiality: Both parties agree to maintain confidentiality of shared business, technical, and pricing information for a period of three (3) years from disclosure, except where required by law or already publicly available.

7. Warranties

MetalCore Manufacturing warrants that all manufactured goods will conform to Client-approved specifications, drawings, and quality standards at the time of shipment, and will be free from defects in material and workmanship for a period of twelve (12) months from delivery. This warranty does not cover damage resulting from improper storage, handling, installation, or use outside intended applications.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALCORE MANUFACTURING'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL METALCORE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, PRODUCTION DOWNTIME, OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

Either party may terminate ongoing engagements upon thirty (30) days written notice. MetalCore reserves the right to immediately terminate services for material breach, non-payment, or conduct that violates safety, legal, or ethical standards. Upon termination, Client shall pay for all completed work, incurred material costs, and non-cancelable supplier commitments.

10. Force Majeure

MetalCore shall not be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, pandemics, supply chain disruptions, labor strikes, utility failures, or governmental restrictions. Affected parties will notify each other promptly and use commercially reasonable efforts to mitigate impact.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict of law principles. Any disputes arising from manufacturing engagements shall first be addressed through good-faith negotiation between designated executives. If unresolved within sixty (60) days, disputes shall be settled by binding arbitration in Detroit, Michigan, under AAA Commercial Rules.

12. Modifications

MetalCore Manufacturing reserves the right to update these Terms to reflect operational, legal, or regulatory changes. Revised terms will be posted on our website with an updated effective date. Continued use of services following such updates constitutes acceptance of modified terms.
