Terms of Service

1. Acceptance of Terms

By accessing, browsing, or utilizing the services provided by Artisan Studio ("the Studio," "we," "our," or "us"), you ("the Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any portion of these Terms, please discontinue use of our services immediately.

2. Scope of Services

Artisan Studio is a creative design agency specializing in brand identity, UI/UX design, motion graphics, illustration, print design, and web development. All services are provided on a project-by-project basis as outlined in a separate Statement of Work (SOW) or Service Agreement. Any work outside the agreed scope will require a written amendment and may incur additional fees based on our current rate schedule.

3. Intellectual Property & Usage Rights

Upon full and final payment of all fees, Artisan Studio transfers exclusive ownership of the final approved deliverables to the Client. The Studio retains the right to display completed projects in our portfolio, marketing materials, case studies, and award submissions unless a separate confidentiality or exclusivity agreement has been executed in writing. All preliminary concepts, drafts, unused designs, source files (where not explicitly delivered), and working materials remain the intellectual property of Artisan Studio.

4. Client Responsibilities

To ensure timely project completion and optimal results, the Client agrees to:

• Provide all necessary assets, copy, brand guidelines, credentials, and feedback in a timely manner.
• Designate a single point of contact for approvals and communications to maintain workflow efficiency.
• Respond to review requests and feedback cycles within the timeframe specified in the project timeline.
• Ensure all provided content, including text, images, and third-party materials, does not infringe on intellectual property rights or violate applicable laws.

5. Payment & Refund Policy

Payment terms, including deposit requirements, milestone schedules, and total project fees, will be explicitly detailed in the agreed-upon SOW or invoice. Invoices are due within 14 days of receipt unless otherwise stated. Late payments may incur a 1.5% monthly interest charge. Refunds are prorated based on completed work stages and milestones achieved. Work in progress beyond 50% completion is non-refundable. Additional revisions beyond the agreed number will be billed at our standard hourly or project rate.

6. Limitation of Liability

Artisan Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to loss of profits, data, business opportunities, or brand reputation. Our total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We guarantee professional execution and industry-standard practices but do not guarantee specific commercial outcomes, third-party platform approvals, or algorithmic performance.

7. Termination

Either party may terminate a project with 14 days written notice. Upon termination, the Client must pay for all work completed, milestones achieved, and out-of-pocket expenses incurred up to the termination date. The Studio reserves the right to suspend or terminate services immediately if payment is overdue by more than 30 days, if the Client materially breaches these Terms, or if requested deliverables involve illegal, defamatory, or harmful content.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or our services will first be subject to good-faith mediation through a mutually agreed-upon neutral third party. If unresolved within 30 days, disputes shall be settled in the appropriate state or federal courts located in New York County, NY.

9. Changes to These Terms

Artisan Studio reserves the right to modify, update, or replace these Terms at any time to reflect changes in our business practices, services, or legal requirements. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Continued engagement with our services following such modifications constitutes your acceptance of the new Terms. We encourage periodic review of this page.
