Supplier Code of Conduct

1. Purpose & Scope

MetalCore Manufacturing is committed to conducting business with integrity, transparency, and accountability. This Supplier Code of Conduct establishes the minimum standards of performance, ethics, and compliance expected of all suppliers, subcontractors, and service providers engaged by MetalCore.

By entering into a contractual relationship with MetalCore, suppliers agree to adhere to these standards across all operations, regardless of geographic location. This code complements, but does not replace, any specific contractual obligations or local legal requirements.

3. Ethical Business Practices

MetalCore expects all suppliers to operate with the highest ethical standards:

Anti-Bribery & Corruption

Suppliers shall not offer, promise, give, or accept bribes, kickbacks, or improper gifts to influence business decisions. This aligns with the U.S. Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act.

Conflicts of Interest

Suppliers must disclose any potential conflicts of interest that could compromise objectivity or decision-making. Personal relationships or financial interests that intersect with MetalCore operations must be reported immediately.

Fair Competition

Suppliers must adhere to antitrust and fair competition laws. Price-fixing, market allocation, or collusion with competitors is strictly prohibited.

4. Labor & Human Rights

Suppliers must respect the fundamental human rights of all workers in accordance with International Labour Organization (ILO) conventions:

  • No Forced or Child Labor: Employment must be voluntary. Strict age verification and compliance with local minimum age laws are required.
  • Fair Compensation: Wages must meet or exceed legal minimums and industry standards, paid on time and documented transparently.
  • Working Hours: Overtime must be voluntary, compensated appropriately, and not exceed legal limits.
  • Non-Discrimination: Employment decisions must be based on merit, free from discrimination based on race, gender, religion, age, disability, or national origin.
  • Freedom of Association: Workers have the right to organize, join unions, and engage in collective bargaining without retaliation.

5. Health & Safety

Suppliers are responsible for providing a safe and healthy work environment that meets or exceeds OSHA and local occupational safety standards. This includes:

  • Regular safety training and emergency preparedness drills
  • Provision of appropriate personal protective equipment (PPE)
  • Maintenance of machinery and workspaces to prevent accidents
  • Transparent incident reporting and root-cause analysis for any workplace injuries

6. Environmental Responsibility

MetalCore expects suppliers to minimize their environmental impact through sustainable manufacturing practices:

  • Compliance with all environmental laws and permit requirements
  • Efficient use of water, energy, and raw materials
  • Proper handling, storage, and disposal of hazardous materials and waste
  • Reduction of greenhouse gas emissions and adoption of cleaner technologies where feasible
  • Waste reduction, recycling, and circular economy initiatives

7. Quality & Product Integrity

Suppliers must implement robust quality management systems (e.g., ISO 9001, AS9100, IATF 16949) to ensure consistent product quality and reliability. Requirements include:

  • Adherence to agreed specifications, tolerances, and testing protocols
  • Maintenance of material traceability and certification documentation
  • Prompt corrective action and containment in the event of non-conformance
  • Continuous improvement initiatives and open quality communication

8. Data Security & Confidentiality

Suppliers must protect all confidential information, intellectual property, and sensitive data shared by MetalCore. This includes:

  • Implementation of industry-standard cybersecurity measures
  • Strict access controls and encryption for digital and physical records
  • Prohibition of unauthorized use, disclosure, or reverse engineering of proprietary designs
  • Secure data destruction upon contract completion or termination

9. Supply Chain Management

Suppliers are expected to extend the principles of this Code of Conduct to their own sub-suppliers and partners. MetalCore reserves the right to conduct supply chain mapping and require transparency regarding tier-2 and tier-3 sourcing, particularly for critical or high-risk materials.

10. Compliance & Auditing

MetalCore conducts periodic compliance audits, surveys, and assessments to verify adherence to this Code of Conduct. Suppliers must:

  • Grant reasonable access to facilities, records, and personnel for audit purposes
  • Cooperate fully and provide requested documentation promptly
  • Implement corrective action plans within agreed timelines for any identified non-conformities

Failure to remedy material violations may result in suspension of business, contract termination, and exclusion from future bidding opportunities.

11. Reporting & Whistleblower Protection

MetalCore encourages suppliers and their employees to report suspected violations of this Code, ethical concerns, or unsafe conditions. Reports can be submitted confidentially via:

MetalCore strictly prohibits retaliation against any individual who reports concerns in good faith. All reports are investigated promptly and confidentially.

12. Acknowledgment & Contact

By signing and returning the Supplier Acknowledgment Form, your organization confirms understanding and commitment to comply with this Supplier Code of Conduct. This document is reviewed annually and may be updated to reflect evolving legal, industry, or operational standards.
