1. Acceptance of Terms

By accessing, registering, or using the WordPress administration and management services provided by Wp Admin ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms apply to all visitors, users, clients, and others who access or use the service.

Wp Admin reserves the right, at its sole discretion, to modify, replace, or remove portions of these Terms at any time. Changes will be effective immediately upon posting to our website. It is your responsibility to review these Terms periodically.

2. Description of Services

Wp Admin provides professional WordPress website management, maintenance, security monitoring, performance optimization, backup management, and technical support services (collectively, the "Services"). Services are delivered remotely and may include third-party tools, plugins, and hosting infrastructure.

We strive to maintain high availability and performance, but we do not guarantee uninterrupted, error-free, or secure service at all times. WordPress is an open-source platform, and inherent risks exist with any online service.

3. Accounts & Access

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Wp Admin cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. User Responsibilities & Prohibited Conduct

As a client, you are responsible for:

• Providing timely access to your WordPress site(s), hosting accounts, and related domains.
• Informing us of any custom code, themes, or plugins that may require special handling.
• Promptly reporting security incidents, downtime, or technical issues.
• Paying all invoices and subscription fees on time.

You agree not to:

• Use our services for any unlawful, harmful, or fraudulent purpose.
• Upload or distribute malware, viruses, or malicious code.
• Attempt to gain unauthorized access to our systems, tools, or other clients' data.
• Misrepresent your identity or the purpose of your website.

5. Payments & Subscriptions

Services are billed on a recurring monthly or annual basis, as selected at checkout. All fees are non-refundable except as explicitly stated in our Refund Policy or required by law. Prices may change with 30 days' written notice.

Failure to pay invoices within 15 days of the due date may result in service suspension, temporary access restriction, or termination of your account. Any additional development, migration, or emergency services requested outside your standard plan may incur separate fees, which will be disclosed and approved in advance.

6. Intellectual Property

Wp Admin retains all rights, title, and interest in and to our proprietary tools, dashboards, reporting systems, documentation, and trade secrets. You retain all rights to your website content, code, media, and data.

Nothing in these Terms transfers ownership of your site to Wp Admin, nor does our service grant you any rights to our intellectual property other than a limited, non-exclusive license to use our dashboard and reporting tools for managing your account.

7. Limitation of Liability & Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Wp Admin, its officers, directors, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the services.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the services.
• Any bugs, viruses, trojan horses, or the like transmitted through our services.

Our aggregate liability shall not exceed the total amount paid by you to Wp Admin in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate these Terms at any time. You may terminate your subscription by contacting support or through your account dashboard. Wp Admin may suspend or terminate your access immediately, without prior notice or liability, for breach of these Terms, non-payment, or if continued service violates applicable laws.

Upon termination, your right to use the services will immediately cease. We will provide reasonable access to export your data for 30 days following termination, after which backup copies may be permanently deleted.

9. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Wp Admin is registered, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the services shall first be subject to good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with applicable rules, with the exception of claims involving intellectual property infringement or injunctions, which may be brought in a court of competent jurisdiction.

10. Changes to Terms

Wp Admin reserves the right to update or modify these Terms at any time. We will notify users of material changes via email or through an in-app notice at least 14 days before the changes take effect. Continued use of the services after such changes constitutes acceptance of the new Terms.
