Terms of Service

1. Introduction & Acceptance

Welcome to PixelCraft Studio ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website, design services, and related offerings. By engaging with PixelCraft Studio, you agree to be bound by these Terms.

These Terms apply to all clients, prospects, and visitors. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

2. Design Services & Scope

PixelCraft Studio provides UX/UI design, web design, mobile app design, design systems, and related creative services. All engagements are governed by a separate Statement of Work ("SOW") or Project Agreement that defines scope, timelines, deliverables, and milestones.

3. User Accounts & Conduct

Certain areas of our platform or project management tools may require account creation. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree not to:

• Use our services for unlawful purposes
• Interfere with the security or functionality of our systems
• Submit harmful code, malware, or disruptive content

4. Intellectual Property & Licensing

4.1 Pre-Existing Materials

All templates, frameworks, components, and methodology retained by PixelCraft Studio prior to engagement remain our exclusive property.

4.2 Custom Deliverables

Upon full payment of all invoiced amounts, custom design work specifically created for your project will be transferred to you, except where restricted by third-party licenses or copyright law. We retain the right to display completed work in our portfolio and marketing materials unless a non-disclosure agreement specifies otherwise.

4.3 Third-Party Assets

Fonts, stock imagery, icons, or plugins licensed for your project will be provided with appropriate usage rights. You remain responsible for maintaining valid licenses for ongoing commercial use.

5. Payments & Refunds

All fees are outlined in the project agreement. Standard payment terms are 50% upfront and 50% upon delivery, unless otherwise negotiated. Late payments may incur a 1.5% monthly interest charge. Refunds are provided on a pro-rata basis for unused milestones. Once design assets are delivered and approved, all work is considered final and non-refundable.

6. Revisions & Change Requests

Each project includes a defined number of revision rounds as specified in the SOW. Requests exceeding the agreed scope will be billed at our standard hourly rate ($175/hr). We reserve the right to pause work if revision requests fundamentally alter the original project scope without a formal change order.

7. Confidentiality

We treat all client information, project data, and internal documents as confidential. Confidentiality obligations survive termination of the engagement. If you require stricter NDAs for sensitive projects, please contact our legal team prior to kickoff.

8. Limitation of Liability

To the fullest extent permitted by law, PixelCraft Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our designs, including lost profits, data loss, or business interruption. Our total liability shall not exceed the total fees paid by you for the specific project giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless PixelCraft Studio, its founders, employees, and contractors from any claims, damages, or expenses arising from your use of delivered assets, your failure to comply with third-party licenses, or your modification of designs after handoff.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall first be subject to good-faith mediation. If unresolved, disputes shall be settled in binding arbitration in San Francisco, CA, in accordance with AAA rules.

11. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services following publication constitutes acceptance of the revised Terms.
