1. Acceptance of Terms

By accessing, browsing, or using the SereneMind platform, including our website, mobile applications, guided meditation content, therapy services, and related tools (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must discontinue use of our Services immediately.

These Terms constitute a legally binding agreement between you and SereneMind Wellness Technologies, Inc. ("SereneMind," "we," "us," or "our"). Your use of the Services also constitutes your consent to our Privacy Policy, which is incorporated herein by reference.

2. Description of Services

SereneMind provides digital mental health and mindfulness services, including but not limited to:

• Guided meditation, breathing exercises, and mindfulness audio/video content
• One-on-one and group therapy sessions conducted by licensed mental health professionals
• Mood and wellness tracking tools with personalized insights
• Sleep improvement programs and relaxation resources
• Community forums and peer support groups (moderated)

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We will make reasonable efforts to notify you of material changes to core Services.

3. User Accounts & Responsibilities

To access certain features, you must create an account. You are responsible for:

• Providing accurate, current, and complete information during registration
• Maintaining the confidentiality of your account credentials
• Immediately notifying us of any unauthorized use or security breach
• All activities that occur under your account

• Distribute malware, spam, or harmful code

6. Intellectual Property

All content, features, and functionality provided through the Services, including but not limited to text, graphics, logos, audio recordings, meditation scripts, software, and design elements, are the exclusive property of SereneMind or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content without our prior written consent.

7. Limitation of Liability & Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, SereneMind, its directors, employees, contractors, therapists, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Health outcomes, emotional distress, or reliance on wellness content as medical treatment

In no event shall our total liability exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. You may delete your account at any time through your account settings or by contacting support. Certain provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may bring a dispute to court if it involves a claim for injunctive relief regarding intellectual property rights or if the arbitration process is deemed ineffective by a court of law.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by posting a notice on our platform or sending an email to the address associated with your account. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
